Common use of Authorization of Governmental Authorities Clause in Contracts

Authorization of Governmental Authorities. No action by (including any authorization, consent or approval), in respect of, or filing with, any governmental authority or regulatory body is required for, or in connection with, the valid and lawful authorization, execution, delivery and performance by it of this Agreement, subject to, in the case of the Debtors, the entry by the Bankruptcy Court of the Approval Order.

Authorization of Governmental Authorities. No Except as disclosed on Schedule 4.3, no action by (including any authorization, consent or approval), or in respect of, or filing with, any governmental authority or regulatory body Governmental Authority is required for, or in connection with, the valid and lawful (a) authorization, execution, delivery and performance by it the Company of this Agreement, subject to, in Agreement and the case Notes or (b) the consummation of the Debtors, the entry Contemplated Transactions by the Bankruptcy Court of the Approval OrderCompany.

Authorization of Governmental Authorities. No action by (including any authorization, consent or approval), in respect of, or filing with, any governmental authority or regulatory body body, except such filing as may be necessary and/or required for disclosure by the Securities and Exchange Commission or pursuant to state securities or “blue sky” laws, is required for, or in connection with, the valid and lawful authorization, execution, delivery and performance by it of this Settlement Agreement, subject to, in the case of the Debtors, the entry by the Bankruptcy Court of the Approval Order.

Authorization of Governmental Authorities. No action by (including any authorization, consent or approval), in respect of, or filing with, any governmental authority or regulatory body body, except such filing as may be necessary and/or required for disclosure by the Securities and Exchange Commission or pursuant to state securities or “blue sky” laws, and the approval of the Bankruptcy Court of the Debtors’ authority to enter into and implement this Settlement Agreement, is required for, or in connection with, the valid and lawful authorization, execution, delivery and performance by it the Debtors of this Settlement Agreement, subject to, in the case of the Debtors, the entry by the Bankruptcy Court of the Approval Order.

Authorization of Governmental Authorities. No action by (including any authorization, consent or approval), or in respect of, or filing or declaration with, any governmental authority or regulatory body is required for, or in connection with, the valid and lawful (i) authorization, execution, delivery and performance by it Seller of this Agreement, subject to, in the case Agreement or (ii) consummation of the Debtors, the entry by the Bankruptcy Court of the Approval Ordertransaction contemplated hereby.

Authorization of Governmental Authorities. No Except as disclosed on Schedule 5.3, no action by (including any authorization, consent or approval), or in respect of, or filing with, any governmental authority or regulatory body Governmental Authority is required for, or in connection with, the valid and lawful (a) authorization, execution, delivery and performance by it the Buyer of this Agreement, subject to, in Agreement and each Ancillary Agreement to which it is (or will be) a party or (b) the case consummation of the Debtors, the entry Contemplated Transactions by the Bankruptcy Court of the Approval OrderBuyer.

Authorization of Governmental Authorities. No action by (including any authorization, consent or approval), or in respect of, or filing with, any governmental authority or regulatory body Governmental Authority is required for, or in connection with, the valid and lawful (a) authorization, execution, delivery and performance by it Parent, Merger Sub and Sister Subsidiary of this AgreementAgreement and each Ancillary Agreement to which it is, subject toor will be at Closing, in the case a party or (b) consummation of the DebtorsContemplated Transactions by Parent, the entry by the Bankruptcy Court of the Approval OrderMerger Sub and Sister Subsidiary.

Authorization of Governmental Authorities. No Except for any filings required by the SEC or NASDAQ, no action by (including any authorization, consent or approval), or in respect of, or filing with, any governmental authority or regulatory body Governmental Authority is required for, or in connection with, the valid and lawful (a) authorization, execution, delivery and performance by it the Buyer of this Agreement, subject to, in Agreement and each Ancillary Agreement to which it is (or will be) a party or (b) the case consummation of the Debtors, the entry Contemplated Transactions by the Bankruptcy Court of the Approval OrderBuyer.

Authorization of Governmental Authorities. No action by (including any authorization, authorization by or consent or approvalapproval of), or in respect of, or filing withwith or notification to, any governmental authority or regulatory body is required by or on behalf of such Party or in respect of such Party’s business or any of the assets of such Party for, or in connection with, (i) the valid and lawful authorization, execution, delivery and performance by it such Party of this Agreement, subject to, in Agreement or any related transaction document to which it is or will be a party or (ii) the case consummation of the Debtors, the entry by the Bankruptcy Court of the Approval Ordercontemplated transactions.

Authorization of Governmental Authorities. No action by (including any authorization, consent or approval), or in respect of, or filing with, any governmental authority or regulatory body Governmental Authorities is required for, or in connection with, the valid and lawful (a) authorization, execution, delivery and performance by it such Major Stockholder of this AgreementAgreement to which he, subject to, in she or it is (or will be) a party or (b) the case consummation of the Debtors, the entry Transaction by the Bankruptcy Court of the Approval Ordersuch Major Stockholder.

Authorization of Governmental Authorities. No action by (including any authorization, consent or approval), or in respect of, or filing with, any governmental authority or regulatory body Governmental Authority is required for, or in connection with, the valid and lawful (a) authorization, execution, delivery and performance by it the Buyer of this AgreementAgreement and each Ancillary Agreement to which it is, subject toor will be at Closing, in the case a party or (b) consummation of the Debtors, the entry Contemplated Transactions by the Bankruptcy Court of the Approval OrderBuyer.

No action by (including any authorization, consent or approval), or in respect of, or filing with, any governmental authority or regulatory body Governmental Authority is required for, or in connection with, the valid and lawful (a) authorization, execution, delivery and performance by it such Seller of this AgreementAgreement and each Ancillary Agreement to which such Seller is, subject toor will be at Closing, in the case a party or (b) consummation of the Debtors, the entry Contemplated Transactions by the Bankruptcy Court of the Approval Ordersuch Seller.

Authorization of Governmental Authorities. No notice to, action by (including any authorization, authorization by or consent or approvalapproval of), in respect of, or filing with, any governmental authority or regulatory body Governmental Authority is required by or on behalf of Buyer for, or in connection with, the valid and lawful authorization, execution, delivery and performance by it Buyer of this Agreement, subject to, in Agreement and the case consummation of the Debtors, the entry by the Bankruptcy Court of the Approval OrderContemplated Transactions.

No Other than the transfer of Government Authorizations in accordance with Section 6.8, no action by (including any authorization, consent or approval), or in respect of, or filing with, any governmental authority or regulatory body Governmental Authority is required for, or in connection with, the valid and lawful (a) authorization, execution, delivery and performance by it Prophylix of this Agreement, subject to, in Agreement or (b) the case consummation of the Debtors, the entry Contemplated Transactions by the Bankruptcy Court of the Approval OrderProphylix.

Authorization of Governmental Authorities. No action by (including any authorization, consent or approval), or in respect of, or filing with, any governmental authority or regulatory body Governmental Authority is required for, or in connection with, the valid and lawful (a) authorization, execution, delivery and performance by it such Shareholder of this AgreementAgreement and each Ancillary Agreement to which such Shareholder is, subject toor will be at Closing, in the case a party or (b) consummation of the Debtors, the entry Contemplated Transactions by the Bankruptcy Court of the Approval Ordersuch Shareholder.

Authorization of Governmental Authorities. No action by (including any authorization, consent or approval), in respect of, or filing with, any governmental authority or regulatory body is required for, or in connection with, the valid and lawful authorization, execution, delivery and performance by it each Debtor of this Agreement, subject to, in the case other than entry of the Debtors, the entry by the Bankruptcy Court of the Approval Order9019 Order (as defined below).

Authorization of Governmental Authorities. No action by (including any authorization, consent or approval), in respect of, or filing with, any governmental authority or regulatory body is required for, or in connection with, the valid and lawful authorization, execution, delivery and performance by it each Debtor and each Non-Debtor Affiliate of this Agreement, subject to, in the case other than entry of the Debtors, the entry by the Bankruptcy Court of the Approval Confirmation Order.

Authorization of Governmental Authorities. No action by (including any authorization, consent or approval), or in respect of, or filing with, any governmental authority or regulatory body Governmental Authority is required for, or in connection with, the valid and lawful (a) authorization, execution, delivery and performance by it the Buyer of this Agreement, subject to, in Agreement and each Ancillary Agreement to which it is (or will be) a party or (b) the case consummation of the Debtors, the entry Contemplated Transactions by the Bankruptcy Court of the Approval OrderBuyer.

Authorization of Governmental Authorities. No action by (including any authorization, consent or approval), in respect of, or filing with, any governmental authority or regulatory body Governmental Authority is required for, or in connection with, the valid and lawful authorization, execution, delivery and performance by it such Xxxxxx Party of this Agreement, subject to, in the case Agreement or any of the DebtorsAncillary Documents, other than the entry by the Bankruptcy Xxxxxx Court of the Approval OrderApproval.

Authorization of Governmental Authorities. No action by (including any authorization, consent or approval), or in respect of, or filing with, any governmental authority or regulatory body Governmental Authority is required for, or in connection with, the valid and lawful (i) authorization, execution, delivery and performance by it such Seller of this AgreementAgreement and each Ancillary Document to which such Seller is, subject toor is expected to be at Closing, in the case a party or (ii) consummation of the Debtors, the entry transactions contemplated by the Bankruptcy Court of the Approval Orderthis Agreement by such Seller.

No action by (including any authorization, consent or approval), or in respect of, or filing with, any governmental authority or regulatory body Governmental Authority is required for, or in connection with, the valid and lawful authorization, (a) execution, delivery and performance by it the Sellers of this Agreement, subject to, in Agreement or (b) the case consummation of the Debtors, the entry Contemplated Transactions by the Bankruptcy Court of the Approval OrderSellers.

Authorization of Governmental Authorities. No action by (including any authorization, consent or approval), in respect of, or filing with, any governmental authority or regulatory body is required for, or in connection with, the valid and lawful authorization, execution, delivery and performance by it the Company of this Agreement, subject to, in the case of the Debtors, the entry other than by the Bankruptcy Court of the Approval OrderCourt.

Authorization of Governmental Authorities. No action by (including any authorization, consent or approval), in respect of) by, or filing with, any governmental authority or regulatory body is required for, or in connection with, the valid and lawful authorization, execution, delivery and performance by it of Joint Administrators pursuant to this Agreement, subject to, in the case of the Debtors, the entry by the Bankruptcy Court of the Approval Orderother than as provided herein.

Authorization of Governmental Authorities. No action by (including any authorization, consent or approval), or in respect of, or filing with, or notice to, any governmental authority or regulatory body Governmental Authority is required for, or in connection with, the valid and lawful (a) authorization, execution, delivery and performance by it the Company of this Agreement, subject to, in Agreement and each Ancillary Agreement to which it is (or will be) a party or (b) the case consummation of the Debtors, the entry Contemplated Transactions by the Bankruptcy Court of the Approval OrderCompany.
