Common use of Authorization from Others Clause in Contracts

Authorization from Others. Except with respect to required filings under any Antitrust Laws and the expiration of any applicable waiting periods thereunder, no consent, waiver, approval, Order, Permit or declaration or filing with, or notification to, any Governmental Authority is required with respect to Buyer in connection with the execution and delivery of this Agreement or any other Transaction Document to which Buyer is a party.

Authorization from Others. Except with respect to required filings under any Antitrust Laws and the expiration of any applicable waiting periods thereunder, no consent, waiver, approval, Order, Permit or declaration or filing with, or notification to, any Governmental Authority is required with respect to Buyer Seller in connection with the execution and delivery consummation of the transactions contemplated by this Agreement or any other Transaction Document to which Buyer Seller is a party, other than such of the foregoing that, if not given or obtained, would not have a Material Adverse Effect.
