AUTHORIZATION DOCUMENTS -- BORROWER. A certificate of an Authorized Officer of Borrower delivering true, accurate and complete versions of (a) its Articles of Incorporation and all amendments thereto, and (b) its Bylaws and all amendments thereto, and (c) the resolutions authorizing its execution, delivery and full performance of the Loan Documents and all other documents, certificates and actions required hereunder or in connection herewith, and (d) an incumbency certificate setting forth its officers (together with the corresponding signatures), and (e) a long-form good standing and qualification certificate (issued within 15 calendar days of the Closing Date) with respect to each jurisdiction listed on Schedule 3.1 hereto, and (f) a copy of each License (or renewal thereof) issued to it by the Federal Communications Commission and any State PUC).
