Common use of Authority to Transact Clause in Contracts

Authority to Transact. (i) Such Seller has all requisite corporate power and authority to execute and deliver this Agreement, and to carry out and perform its obligations under this Agreement and to consummate the transactions contemplated hereby.

Authority to Transact. (i) Such Seller has all requisite corporate power and authority to execute and deliver this Agreement, the Security Agreement, and has all rights necessary to carry out and perform its obligations under this Agreement and to consummate the transactions contemplated herebyhereby and thereby.

(i) Such Seller Buyer has all requisite corporate power power, capacity and authority to execute and deliver this Agreement, and has all rights necessary to carry out and perform its obligations under this Agreement and to consummate the transactions contemplated hereby, including, without limitation, obtaining all requisite approvals by the board of directors and shareholders with respect to entering into this Agreement and performing its respective obligations hereunder.

Authority to Transact. All corporate and other (to the extent required) action on the part of the Seller necessary for the authorization and execution of this Agreement, and the performance of all of the Seller’s obligations hereunder have been taken. This Agreement constitutes the valid and legally binding obligation of the Seller, enforceable in accordance with its terms.

Subject to the execution by each of the parties thereto, this Agreement constitutes and, when signed by them, all other documents contemplated hereby will constitute, valid and legally binding obligations of the Sellers, enforceable in accordance with their terms.
