Authority to Subcontract. ENGIE Services U.S. may delegate its duties and performance under this Contract, and has the right to enter into agreements with any subcontractors and other service or material providers as ENGIE Services U.S. may select in its discretion to perform the Work. ENGIE Services U.S. will not be required to enter into any subcontracts with parties whom ENGIE Services U.S. has not selected or subcontractors whom ENGIE Services U.S. has objection to using.
Authority to Subcontract. OpTerra Energy Services may subcontract its duties and performance of Work under this Contract, and has the right to enter into agreements with any subcontractors and other service or material providers as OpTerra Energy Services may select in its discretion to perform the Work, provided however, that OpTerra Energy Services shall remain responsible for all of the Work and other obligation hereunder notwithstanding any subcontracts it may enter into. OpTerra Energy Services will not be required to enter into any subcontracts with parties whom OpTerra Energy Services has not selected or subcontractors whom OpTerra Energy Services has objection to using.

Chevron Energy Solutions may delegate its duties and performance under this Contract, and has the right to enter into agreements with any subcontractors and other service or material providers as Chevron Energy Solutions may select in its discretion to perform the Work. Chevron Energy Solutions will not be required to enter into any subcontracts with parties whom Chevron Energy Solutions has not selected or subcontractors whom Chevron Energy Solutions has objection to using.

OpTerra ES may delegate its duties and performance under this Contract, and shall have the right to enter into agreements with any subcontractors and other service or material providers as OpTerra ES shall select in its discretion to perform the Work hereunder, provided that any such subcontractors have been prequalified. OpTerra ES shall not be required to enter into any subcontracts with parties whom OpTerra ES has not selected or subcontractors whom OpTerra ES has objection to using.
Authority to Subcontract. The Provider is permitted at any time to establish subcontracting relationships with affiliated companies or third parties (i.e. with service providers who support the Provider in the provision of services and thereby obtain access to the Contractor's data, e.g. data centres) in accordance with this subsection 7. At the time of the conclusion of this Agreement, the companies listed in Annex B are active as sub-processors for the Provider within the scope of the partial services provided and directly process the Contractor's data. For these subcontractors, the Contractor's consent shall be deemed granted upon conclusion of the ODP Agreement.
Authority to Subcontract. With the prior approval of SBI, CTL may enter into one or more written agreements (each a "Subcontract") under which CTL delegates or subcontracts some or all of its duties and authority under this Agreement to a third party (a "Subcontractor," which term includes any Renovation Contractor and any Operations Contractor, as defined below), as more specifically provided in Sections 4, 5, and 6 of this Agreement. CTL will obtain SBI's prior, written approval before entering into any Subcontract.

Provider may subcontract any function or service it is obligated to provide hereunder, subject to Company’s prior written consent, which consent shall not be unreasonably withheld; provided, however, that no such subcontract shall relieve or discharge Provider from any obligation or liability under this Agreement.

Authority to Subcontract. Contractor must not subcontract any part of the Services without the express written approval of PRASA unless otherwise provided for in this Agreement. In all cases Contractor shall require that (i) any Subcontractor engaged by it exercises due diligence in the performance of the services for which it was hired; (ii) any Subcontractor shall be a licensed professional, if applicable, with experience in the performance of the work subcontracted to it; (iii) local firms are used as often as practicable for the performance of any subcontracted service provided, however, that thirty per cent (30%) of all applicable fees that could be subcontracted by Contractor on an agreement year basis (excluding services provided by Principal Subcontractors, unless otherwise agreed in writing by PRASA) shall be traced back to use of local firms by Contractor; (iv) the Subcontractor coordinates with management, agents, representatives and personnel of PRASA and any succeeding or concurrent Contractor in the Regions; and (v) Subcontractors which dedicates more than 25% of its time to provide services related to this Agreement, submit to Contractor and to PRASA all certifications specified in Section 8.2 (Tax Filings and Other Documentation Requirements) and any information that PRASA may reasonably request in respect of any Subcontractor.
