Authority to Execute Lease. Landlord and Tenant each acknowledge that it has all necessary right, title and authority to enter into and perform its obligations under this Lease, that this Lease is a binding obligation of such party and has been authorized by all requisite action under the party's governing instruments, that the individuals executing this Lease on behalf of such party are duly authorized and designated to do so, and that no other signatories are required to bind such party.
Authority to Execute Lease. Tenant represents and warrants that this Lease has been duly authorized, executed and delivered by and on behalf of Tenant and constitutes the valid, binding, and enforceable agreement of Tenant in accordance with the terms hereof. Landlord represents and warrants that Landlord is the owner of fee simple title to the property on which the Premises is located, this Lease has been duly authorized, executed and delivered by and on behalf of Tenant, and constitutes the valid, binding and enforceable agreement of Landlord in accordance with the terms hereof.

Tenant is a duly formed corporation in the state of California, and each individual executing this Lease on behalf of Tenant represents and warrants that he is duly authorized to execute and deliver this Lease on behalf of Tenant in accordance with a duly adopted Corporate Resolution of Tenant, in accordance with the bylaws of the Tenant, and certifying that Tenant is duly organized under the laws of its State of formation, and that this Lease is binding upon the Tenant in accordance with its terms. Tenant shall furnish with the executed lease a copy of the Corporate Resolution.

The Landlord attests and agrees that he/she is the owner of the premises, free and clear of any encumbrances which would affect the use and enjoyment of the premises by the Landlord or Tenant and that he/she has full authority to execute this Lease. The Landlord further attests that the premises are properly zoned for such use, and for the uses intended by the Tenant, and he/she complies and will comply with all applicable statutes, laws and ordinances, including, but not limited to building ordinances, fire ordinances and all minimum housing laws, and that he/se procured all licenses and permits necessary, if any, for leasing this apartment.
