Common use of AUTHORITY TO EXECUTE AGREEMENT Clause in Contracts

AUTHORITY TO EXECUTE AGREEMENT. Each party hereto represents, warrants and covenants to the other that (a) it has the authority to enter into this Agreement and to perform its obligations hereunder; (b) the execution and performance of this Agreement does not and will not violate any agreement to which such party is a party or by which it is otherwise bound; and (c) when executed and delivered, this Agreement will constitute a legal, valid and binding obligation of such party, enforceable in accordance with its terms.

AUTHORITY TO EXECUTE AGREEMENT. Each party hereto represents, warrants and covenants to the other represents that (a) it has the authority obtained all necessary approvals, consents and authorizations to enter into this Cooperation Agreement and to perform its obligations hereunderduties under this Cooperation Agreement; (b) the person executing this Cooperation Agreement on its behalf has the authority to do so; upon execution and performance delivery of this Cooperation Agreement does not and will not violate any agreement to which such party by the parties, it is a party or by which it is otherwise bound; and (c) when executed and delivered, this Agreement will constitute a legal, valid and binding obligation of such partycontract, enforceable in accordance with its terms; and the execution, delivery, and performance of this Cooperation Agreement does not violate any bylaw, charter, regulation, law or other governing authority of the party.

AUTHORITY TO EXECUTE AGREEMENT. Each party hereto represents, Party hereby represents and warrants and covenants to the other that Party that: (ai) it the execution, performance, and delivery of this Agreement has been authorized by all necessary action by such Party; (ii) the representative executing this Agreement on behalf of such Party has been granted all necessary power and authority to act on behalf of such Party with respect to the execution, performance, and delivery of this Agreement; and (iii) the representative executing this Agreement on behalf of such Party is of legal age and capacity to enter into this Agreement agreements that are fully binding and to perform its obligations hereunder; (b) the execution and performance of this Agreement does not and will not violate any agreement to which enforceable against such party is a party or by which it is otherwise bound; and (c) when executed and delivered, this Agreement will constitute a legal, valid and binding obligation of such party, enforceable in accordance with its termsParty.

AUTHORITY TO EXECUTE AGREEMENT. Each party hereto represents, warrants and covenants represents to the other party that (a) it such party has the authority obtained all necessary approvals, consents and authorizations to enter into this Agreement and to perform its obligations hereunderduties under this Agreement; (b) the person executing this Agreement on its behalf has the authority to do so; upon execution and delivery of this Agreement by the parties, it is a valid and binding contract, enforceable in accordance with its terms; and the execution, delivery, and performance of this Agreement does not and will not violate any agreement to which such party is a party bylaw, charter, regulation, law or by which it is otherwise bound; and (c) when executed and delivered, this Agreement will constitute a legal, valid and binding obligation any other governing authority of such party, enforceable in accordance with its terms.

AUTHORITY TO EXECUTE AGREEMENT. AUTHORITY TO EXECUTE AGREEMENT. Each party hereto represents, Party represents and warrants and covenants to the other that (a) it has the authority to enter into this Agreement has been duly authorized, executed and delivered by it; that the undersigned representatives are duly authorized to perform its obligations hereundersign this Agreement on behalf of the party for whom they are signing and whom they represent; (b) the execution and that performance of all the actions contemplated thereby have been duly authorized by all requisite action and that this Agreement does not and will not violate any agreement to which such party is constitutes a party or by which it is otherwise bound; and (c) when executed and delivered, this Agreement will constitute a legal, valid and binding obligation of such partyobligation, enforceable against the Parties, their successors and assigns in accordance with its terms.
