AUTHORITY TO EXECUTE AGREEMENT. Each Party represents and warrants that it has the right and authority to enter into this Agreement, and that by entering into this Agreement, it will not violate, conflict with, or cause a material default under any other agreement, indenture, decree, judgment, undertaking, conveyance, lien or encumbrance to which it is a party or by which it or any of its property is or may become subject or bound.

AUTHORITY TO EXECUTE AGREEMENT. AUTHORITY TO EXECUTE AGREEMENT. Each Party party represents and warrants that it has the right obtained all necessary approvals, consents and authority authorizations to enter into this Cooperation Agreement and to perform its duties under this Cooperation Agreement; the person executing this Cooperation Agreement on its behalf has the authority to do so; upon execution and delivery of this Cooperation Agreement by the parties, and that by entering into this Agreement, it will not violate, conflict with, or cause a material default under any other agreement, indenture, decree, judgment, undertaking, conveyance, lien or encumbrance to which it is a party valid and binding contract, enforceable in accordance with its terms; and the execution, delivery, and performance of this Cooperation Agreement does not violate any bylaw, charter, regulation, law or by which it or any other governing authority of its property is or may become subject or boundthe party.

AUTHORITY TO EXECUTE AGREEMENT. Each Party hereby represents and warrants that it to the other Party that: (i) the execution, performance, and delivery of this Agreement has been authorized by all necessary action by such Party; (ii) the right representative executing this Agreement on behalf of such Party has been granted all necessary power and authority to act on behalf of such Party with respect to the execution, performance, and delivery of this Agreement; and (iii) the representative executing this Agreement on behalf of such Party is of legal age and capacity to enter into this Agreement, agreements that are fully binding and that by entering into this Agreement, it will not violate, conflict with, or cause a material default under any other agreement, indenture, decree, judgment, undertaking, conveyance, lien or encumbrance to which it is a party or by which it or any of its property is or may become subject or boundenforceable against such Party.

AUTHORITY TO EXECUTE AGREEMENT. AUTHORITY TO EXECUTE AGREEMENT. Each Party party represents and warrants to the other party that (i) the execution, delivery, and performance of this Agreement have been duly authorized by all necessary entity action(s), and (ii) this Agreement constitutes a valid and binding obligation as to it, enforceable against it in accordance with its terms. The person signing this Agreement on behalf of Customer expressly represents and warrants that it he or she has the right and all authority necessary to enter into this Agreement, and that by entering into this Agreement, it will not violate, conflict with, or cause a material default under any other agreement, indenture, decree, judgment, undertaking, conveyance, lien or encumbrance bind Customer to which it is a party or by which it or any of its property is or may become subject or boundterms.

AUTHORITY TO EXECUTE AGREEMENT. Each Party represents and warrants that it this Agreement has been duly authorized, executed and delivered by it; that the right undersigned representatives are duly authorized to sign this Agreement on behalf of the party for whom they are signing and authority to enter into this Agreement, whom they represent; that performance of all the actions contemplated thereby have been duly authorized by all requisite action and that by entering into this AgreementAgreement constitutes a valid and binding obligation, it will not violateenforceable against the Parties, conflict with, or cause a material default under any other agreement, indenture, decree, judgment, undertaking, conveyance, lien or encumbrance to which it is a party or by which it or any of their successors and assigns in accordance with its property is or may become subject or boundterms.

AUTHORITY TO EXECUTE AGREEMENT. Each Party party, by their respective signatures below, represents and warrants to the other party that it has the right full power and authority to enter into execute this Agreement and grant the rights contained herein without the consent of any other party and the Agreement shall be binding upon the parties hereto. Warranties, representations, agreements, and obligations contained in this Agreement shall survive the execution and delivery of this Agreement and shall survive any and all performances in accordance with this Agreement, and that by entering into this Agreement, it will not violate, conflict with, or cause a material default under any other agreement, indenture, decree, judgment, undertaking, conveyance, lien or encumbrance to which it is a party or by which it or any of its property is or may become subject or bound.

AUTHORITY TO EXECUTE AGREEMENT. Each Party represents and warrants that it has the right full power and authority to enter into this Agreement, ; and that the execution, delivery and performance by entering into each Party of this Agreement, it Agreement will not violateviolate any law, conflict with, statute or cause a material default under other governmental regulations. Both Parties mutually warrant that the entering of this Agreement in no way violates any other agreement, indenture, decree, judgment, undertaking, conveyance, lien or encumbrance to which it is a party or by which it or any of its property is or agreement that either Party may become subject or boundhave with other entities.

AUTHORITY TO EXECUTE AGREEMENT. Each Party represents and warrants to the other Party that it has (i) the right and authority to enter into this Agreementexecution, delivery, and performance of this Agreement have been duly authorized by all necessary entity action(s), and (ii) this Agreement constitutes a valid and binding obligation as to it, enforceable against it in accordance with its terms. The person signing this Agreement on behalf of Customer expressly represents and warrants that by entering into this Agreement, it will not violate, conflict with, he or cause a material default under any other agreement, indenture, decree, judgment, undertaking, conveyance, lien or encumbrance she has all authority necessary to which it is a party or by which it or any of bind Customer to its property is or may become subject or boundterms.
