The Authority Requirements clause defines the obligations of parties to obtain and maintain all necessary approvals, licenses, or permissions from relevant governmental or regulatory authorities required to perform their contractual duties. In practice, this means each party must ensure compliance with applicable laws and regulations, such as securing permits for construction projects or regulatory clearances for financial transactions. This clause serves to allocate responsibility for legal compliance, reducing the risk of project delays or legal penalties due to missing or inadequate authorizations.
Authority Requirements. During the Compliance Period, the following provisions shall apply.
(a) Each of the provisions of this Agreement shall be subject to, and the General Partner covenants to act in accordance with, the Tax Credit Conditions and all applicable federal, state and local laws and regulations.
(b) The Tax Credit Conditions and all such laws and regulations, as amended or supplemented, shall govern the rights and obligations of the Partners, their heirs, executors, administrators, successor and assigns, and they shall control as to any terms in this Agreement which are inconsistent therewith, and any such inconsistent terms of this Agreement shall be unenforceable by or against any of the Partners.
(c) Upon any dissolution of the Partnership or any transfer of the Apartment Housing, no title or right to the possession and control of the Apartment Housing and no right to collect rent therefrom shall pass to any Person who is not, or does not become, bound by the Tax Credit Conditions in a manner that, in the opinion of counsel to the Partnership, would avoid a recapture of Tax Credits thereof on the part of the former owners.
(d) Any conveyance or transfer of title to all or any portion of the Apartment Housing required or permitted under this Agreement shall in all respects be subject to the Tax Credit Conditions and all conditions, approvals or other requirements of the rules and regulations of any authority applicable thereto.

Authority Requirements. (a) The Partnership is authorized to execute a deed of trust note and deed of trust and security agreement in order to secure a loan to be made by the MHDC and to execute an MHDC regulatory agreement (MHDC Regulatory Agreement) and such other documents as may be required by MHDC, or any other lender in connection with such loan.
(b) upon execution, the MHDC Regulatory Agreement shall be binding upon the Partnership and all of the partners, whether they become Partners before or after the execution of such MHDC Regulatory Agreement, and such Regulatory Agreement shall remain binding upon the Partnership and the Partners so long as a deed of trust and security agreement on the Partnership property is held by MHDC or successors or assigns.
(c) Any incoming Partner shall, as a condition of receiving an interest in the Partnership, agree(s) to be bound by the deed of trust note, the deed of trust and security agreement, the MHDC Regulatory Agreement and all other documents required by MHDC, or any lender in connection with such loan to the same extent and upon the same terms as the other Partners.
(d) Upon dissolution of the Partnership, no title or right to possession and control of the Partnership property, and no right to collect the rents therefrom, shall pass to any Partnership or person who is not bound by the MHDC Regulatory Agreement.
(e) Any other provisions of this Partnership Agreement to the contrary notwithstanding, so long as the Partnership property is encumbered by the deed of trust and security agreement held by MHDC or its successor or assign: (1) no distributions (as that term is defined in the MHDC Regulatory Agreement or payments to any partner shall be made except as permitted by the terms of the MHDC Regulatory Agreement; and,

The Contractor must: perform the Contractor's Activities so that the Contractor's Activities at all times and the Works (on Completion) comply with the: National Construction Code except to the extent otherwise specified in the Contract Particulars or notified in writing to the Contractor by the Contract Administrator; Statutory Requirements; and other requirements set out in the Contract Particulars or notified in writing to the Contractor by the Contract Administrator; apply for all Approvals, give all notices and pay all fees necessary to perform its Contract obligations; and give the Principal copies of all relevant Approvals. If the requirements with which the Contractor must comply under this clause 7.3 change after the Award Date, the Contractor must give written notice to the Contract Administrator seeking instructions. Any instruction issued by the Contract Administrator that requires the Contractor to do more work than could reasonably have been anticipated at the Award Date will, subject to the Contractor complying with clause 12, entitle the Contractor to payment for the extra work as a Variation.
Authority Requirements specific to Lot 2:
(a) Value-added ▇▇▇ Support – Entitlement – the reseller will independently maintain accurate purchase records (unless the Contracting Bodies requests otherwise), including any information necessary to identify and support a Contracting Bodies’ claim of entitlement to licences (inc. but not limited to: licence metrics, quantity, product details, support details etc.). This information can be requested by the Authority on a reasonable basis.
Authority Requirements. The ESCO is to liaise with relevant authorities and ascertain all authority requirements. Evidence of the ESCO's compliance with this requirement and an outline of relevant authority requirements and their impact on the works or Services must be included in the DFS.
