Common use of Authority of the Company Clause in Contracts

Authority of the Company. The Company represents and warrants that it is fully authorized and empowered to enter into this Agreement and that its entering into this Agreement and the performance of its obligations under this Agreement will not violate any agreement between the Company and any other person, firm or organization or any law or governmental regulation.

Authority of the Company. The Company hereby represents and warrants to the Preferred Unitholders that it is fully authorized the Company has full right, authority, power and empowered capacity to enter into this Agreement and that its entering into this to carry out the transactions contemplated hereby. This Agreement constitutes a valid and binding obligation of the performance of its obligations under this Agreement will not violate any agreement between Company, enforceable against the Company and any other person, firm or organization or any law or governmental regulationin accordance with its terms.
