Common use of Authority and Enforcement Clause in Contracts

Authority and Enforcement. Each party to this Agreement warrants that he or it has full right, power and authority to enter into this Agreement and to perform the covenants and agreements contemplated hereby, that this Agreement has been duly executed and delivered by him or it and that the Agreement is enforceable against him or it in accordance with its terms, except as enforceability may be limited by bankruptcy, insolvency or other creditors' rights generally and the availability of equitable remedies, including specific performance.
