Authorisation of Agent. Authorisation of Agent. The Borrower authorises the Agent (on behalf of the Lenders) to debit and, to the extent necessary, to liquidate any Permitted Investments previously purchased with any funds standing to the credit of the relevant account:

Each party to this Agreement irrevocably authorises the Agent to counter-sign each Transfer Certificate on its behalf for the purposes of clause 18.3 without any further consent of, or consultation with, any such party except, in the case of the Original Borrower, the consent required pursuant to clause 18.3 and, in the case of any Obligor incorporated in Ireland or Denmark, the notice required pursuant to clause 18.3.
Authorisation of Agent. The Borrowers, the Guarantor and each other Finance Party authorise the Agent to sign each Transfer Certificate on their respective behalves without any further consent or consultation except, in the case of the Borrowers, for consent required under paragraph (a) of Clause 24.2 (Conditions of assignment or transfer).

Each TCN Entity, each Arranger, the Security Trustee and each Bank irrevocably authorises the Agent to counter-sign each Substitution Certificate on its behalf without any further consent of, or consultation with such TCN Entity, such Arranger, the Security Trustee or such Bank except, in the case of the Borrower, the consent required pursuant to clause 17.3 or 17.4.
Authorisation of Agent. Each Party irrevocably authorises the Agent to execute any Transfer Certificate or Assignment Agreement on its behalf, without any further consent of, or consultation with, such Party.
Authorisation of Agent. Each member of the Group, each Arranger, the Security Trustee and each Bank irrevocably authorises the Agent to counter-sign each Substitution Certificate on its behalf without any further consent of, or consultation with such member of the Group, such Arranger, the Security Trustee or such Bank except, in the case of the Borrower, the consent required pursuant to clause 18.3 or 18.4.
Authorisation of Agent. The Borrower and each Bank irrevocably authorises the Agent to counter-sign each Substitution Certificate on its behalf without any further consent of, or consultation with, the Borrower or such Bank.
