Authorisation and Authority. 7.2.1 This Agreement has been duly authorised, executed and delivered by the Purchaser and constitutes a valid and legally binding agreement of the Purchaser, enforceable against the Purchaser pursuant to its terms. 7.2.2 All consents, orders, approvals, and other authorisations, whether governmental, corporate or other, necessary for the execution, delivery and performance by the Purchaser of this Agreement and the Transactions have been obtained or made and are in full force and effect. 7.2.3 The compliance by the Purchaser with all of the provisions of this Agreement will not conflict with, result in a breach or violation of, or constitute a default under: (A) any provision of the articles of association or any other constitutional document of the Purchaser; (B) any agreement or instrument to which the Purchaser is a party or by which it or any of its properties or assets is bound; or (C) any statute, rule or regulation applicable to, or any order of any court or governmental agency with jurisdiction over, the Purchaser, its assets or its properties.
