Common use of Auditors’ Management Letters Clause in Contracts

Auditors’ Management Letters. Promptly upon receipt thereof, copies of each report submitted to Borrower by independent public accountants in connection with any annual, interim or special audit made by them of the books of Borrower including, without limitation, each report submitted to Borrower concerning its accounting practices and systems and any final comment letter submitted by such accountants to management in connection with the annual audit of Borrower.

Auditors’ Management Letters. Promptly upon receipt thereof, copies of each report submitted to Borrower by independent public accountants in connection with any annual, interim or special audit made by them of the books of Borrower including, without limitation, each report submitted to Borrower concerning its accounting practices and systems and any final comment letter submitted by such accountants to management in connection with the annual audit of Borrower.;

Promptly upon receipt thereof, copies of each report submitted to any Borrower or its Consolidated Subsidiaries by independent public accountants in connection with any annual, interim or special audit made by them of the books of such Borrower or its Consolidated Subsidiaries including, without limitation, each report submitted to such Borrower or its Consolidated Subsidiaries concerning its accounting practices and systems and any final comment letter submitted by such accountants to management in connection with the annual audit of Borrowersuch Borrower and its Consolidated Subsidiaries.

Promptly upon receipt thereof, copies of each report all reports, if any, submitted to the Borrower or its Board of Directors by its independent public accountants in connection with any annualtheir auditing function, interim or special audit made by them of the books of Borrower including, without limitation, each any management report submitted to Borrower concerning its accounting practices and systems and any final comment letter submitted by such accountants to management in connection with the annual audit of Borrowerresponses thereto.

Promptly upon receipt thereof, copies of each report submitted to Borrower Borrowers by independent public accountants in connection with any annual, interim interim, or special audit made by them of the Borrowers’ books of Borrower including, without limitation, each report submitted to Borrower Borrowers concerning its their accounting practices and systems and any final comment letter submitted by such accountants to management in connection with the Borrowers’ annual audit of Borroweraudit.

Promptly upon receipt thereof, copies of each report submitted to Borrower Borrowers by independent public accountants in connection with any annual, interim or special audit made by them of the books of Borrower Borrowers including, without limitation, each report submitted to Borrower Borrowers concerning its their accounting practices and systems and any final comment letter submitted by such accountants to management in connection with the annual audit of Borrower.Borrowers; provided, however, that, nothing contained herein shall require any Borrower to request or require the preparation of a management letter by its auditors;

Promptly upon receipt thereof, copies of each report submitted to Borrower by independent public accountants in connection with any annual, interim or special audit made by them of the books of Borrower including, without limitation, each report submitted to Borrower concerning its accounting practices and systems and any final comment letter submitted by such accountants to management in connection with the annual audit of Borrower, if any. PROVIDED HOWEVER, that nothing contained herein shall require Borrower to request or require the preparation of a management letter by its auditors.

Auditors’ Management Letters. Promptly upon receipt thereof, copies of each report submitted to Borrower Agent or Obligors by independent public accountants in connection with any annual, interim interim, or special audit made by them of the Obligors’ books of Borrower including, without limitation, each report submitted to Borrower Agent or Obligors concerning its or their accounting practices and systems and any final comment letter submitted by such accountants to management in connection with Obligors’ or the Consolidated Companies’ annual audit of Borroweraudit.

Auditors’ Management Letters. Promptly upon receipt thereof, copies of each report submitted to the Borrower by independent certified public accountants in connection with any annual, interim or special audit made by them of the books of the Borrower including, without limitation, each report submitted to the Borrower concerning its accounting systems and practices and systems and any final comment letter submitted by such accountants to management in connection with the its annual audit of the Borrower.

Auditors’ Management Letters. Promptly upon receipt thereof, copies of each report submitted to each Borrower by independent public accountants in connection with any annual, interim or special audit made by them of the books of such Borrower including, without limitation, each report submitted to each Borrower concerning its accounting practices and systems and any final comment letter submitted by such accountants to management in connection with the annual audit of such Borrower.

Auditors’ Management Letters. Promptly upon after the receipt thereof, copies of each report any significant reports submitted to Borrower by the Borrower’s independent public accountants in connection with any each annual, interim or special audit made by them or review of any type of the books financial statements or related internal control systems of the Borrower including, without limitation, each report submitted to Borrower concerning its accounting practices and systems and any final comment letter submitted delivered by such accountants to the management in connection with or board of directors of the annual audit of Borrower.;

Auditors’ Management Letters. Promptly upon receipt thereof, copies of each report submitted to Borrower Xxxxxx by independent public accountants in connection with any annual, interim or special audit made by them of the books of Borrower Xxxxxx and/or its Subsidiaries including, without limitation, each report submitted to Borrower Xxxxxx concerning its accounting practices and systems and any final comment letter submitted by such accountants to management in connection with the annual audit of Borrowerthe consolidated financial statements of Xxxxxx and its Subsidiaries.

Promptly upon receipt thereof, copies of each report submitted to Borrower Borrowers by independent public accountants in connection with any annual, interim interim, or special audit made by them of the Borrowers’ books of Borrower including, without limitation, each report submitted to Borrower Borrowers concerning its accounting practices and systems and any final comment letter submitted by such accountants to management in connection with the Borrowers’ annual audit of Borroweraudit.

Promptly upon receipt thereofIf available, together with the next quarterly financial reports required by subsection (b) above, copies of each report submitted to Borrower by independent public accountants in connection with any annual, interim interim, or special audit made by them of the Borrower’s books of Borrower including, without limitation, each report submitted to Borrower concerning its accounting practices and systems and any final comment letter submitted by such accountants to management in connection with the Borrower’s annual audit of Borroweraudit.
