Auditor Consent. The Contributor Parties shall have delivered or caused to be delivered to Acquirer the consent of Ernst & Young LLP for the inclusion of its reports on the Propane Group Entities in any documents to be filed by Acquirer with the SEC in connection with the transactions contemplated by this Agreement or the other Transaction Agreements.
Auditor Consent. Exmar will request that the Auditors consent to the ability of TGP’s auditor to rely on their audit work of the Companies.
Auditor Consent. Buyer shall have received from the Auditors written notice that, in their sole discretion, the preparation of the Company’s audited financial statements has made sufficient progress as of the date of such notice (provided, that, notwithstanding anything in this Agreement to the contrary, the condition set forth in this Section 9.1(c) shall automatically be deemed satisfied beginning on August 1, 2022).
Auditor Consent. The Company shall have delivered to Acquirer the consent of the Company’s independent auditors, Xxxxxxxx Xxxxx & Ford LLP, in a form reasonably acceptable to Acquirer, to the inclusion of the Required Financials and such auditors’ written report thereon, in any report required to be filed by Acquirer with the SEC for any filing to be made within five business days of Closing.
Auditor Consent. Parent shall have received a signed consent from CSC’s independent auditors permitting Parent to include the Financial Statements and its opinion with respect to such statements in Parent’s Current Report on Form 8-K with respect to the Transactions, which shall be filed by Parent within four (4) days after the Closing, and Parent shall have received evidence reasonably satisfactory to it that CSC has requested that its independent auditors perform such diligence and other procedures as necessary to enable them to provide their consent permitting Parent to include the Financial Statements and their opinion with respect to such statements in Parent’s filings related to subsequent securities offerings.
Auditor Consent. The Parent and Subco shall have received a signed consent from Amorcyte’s independent auditors permitting Parent to include the GAAP Financial Statements and its opinion with respect to such statements in Parent’s filings with the SEC, as well as providing comfort as needed with respect to any subsequent securities offerings by Parent.
Auditor Consent. The Company shall use its commercially reasonable best efforts to obtain any necessary consents from its auditor and any other advisors to the use of any financial or other expert information required to be included in the Parent Circular and to the identification in the Parent Circular of each such advisor. Expenses, if any, incurred by the Company in connection with this Section 3.04 will be paid fifty percent (50%) by the Company and fifty percent (50%) by Parent.
Auditor Consent. The Company shall have delivered to Acquirer the consent of the Company’s independent auditors Mazars USA LLP in a form reasonably acceptable to Acquirer, to the inclusion of the Required Financials and such auditors’ written report thereon, in any report required to be filed by Acquirer with the SEC for any filing to be made within five business days of Closing.
Auditor Consent. Consent from the Target Companies’ auditor, whereby such auditor permits Parent to include their audit report on the financial statements of the Target Companies in filings made by Parent with the SEC, to the extent required by applicable Law.
Auditor Consent. The Company shall have provided to the Buyer a letter from their independent auditors, Xxxxxx LLC, in a form reasonably acceptable to the Buyer, agreeing to provide the Buyer, when reasonably requested by the Buyer, with a signed auditor consent to incorporate such auditor’s report on the audited financial statements of the Company in any report required to be filed by the Buyer with the U.S. Securities and Exchange Commission.
