Common use of Audit Right Clause in Contracts

Audit Right. During normal business hours and at any time during which the Services are being utilized, DI, or its authorized representative or licensors, shall have the right, upon reasonable notice, either remotely or at Customer’s premises, to audit and inspect Customer’s Use of the Services, in order to verify compliance with the terms of this Agreement. If Customer is found to not be in substantial compliance with its obligations, Customer shall pay the reasonable expenses incurred by DI associated with such audit and will promptly take measures to come into compliance.
