ASSOCIATED EXPENSES. Each party shall bear and pay all expenses it incurred and that are associated with the transaction contemplated by this Agreement. Payment of recording fees, filing fees, documentary stamp taxes, all sales taxes (if any, plus penalty and interest) and any other fees and taxes imposed on the Properties on and after the Effective Date, excluding Seller's income taxes, shall be paid by Buyer.

ASSOCIATED EXPENSES. Sponsor shall reimburse ALPS for all reasonable associated expenses, including but not limited to: travel expenses to Board meetings and on-site reviews, FINRA advertising/filing fees (including additional fees for expedited reviews as set forth herein); fulfillment costs; and other reasonable out-of-pocket expenses incurred by ALPS in connection with the performance of its duties under this Agreement.
ASSOCIATED EXPENSES. Funds shall be responsible for security pricing and data fees, Bloomberg fees, Gainskeeper fees, PFIC Analyzer, bank loan sub-accounting fees, Blue Sky permit processing fees and state registration fees, SSAE 18 control review reports, travel expenses to Board meetings and on-site reviews, BoardVantage fees, typesetting, printing, filing and mailing fees (including additional fees or surcharges related to expedited typesetting, printing, filing and mailing events), FINRA advertising/filing fees (including additional ALPS fees for expedited reviews), registered representative state licensing fees, Mauritius fees and expenses with respect to the ALPS/Kotak India Growth Fund, fulfillment costs, confirmations and investor statements, postage, statement paper, IXX custodial fees, NSCC interface fees, wire fees and other bank charges, E*Delivery services, customized programming/enhancements, enhanced reporting activities, extraordinary expenses, and other expenses incurred in connection with the performance of ALPS duties under its Agreement with the Funds and administrative handling fees attributable to management of such expenses. For expenses of a third party from which the Administrator receives services as part of an existing ALPS relationship or agreement, the Funds may be billed the amount attributable to the services it received, calculated before application of any discount that ALPS may receive as part of its overall relationship with the supplier (if applicable). The fees do not reflect the cost for an independent auditor to review the income tax provision and tax basis financial statement disclosures, review and sign the federal and state income tax returns, review the distribution calculations or review and sign the excise tax returns.

  • ALPS Compensation; Expenses (a) ALPS will bear all expenses in connection with the performance of its services under this Agreement, except as otherwise provided herein. ALPS will not bear any of the costs of Fund personnel.   • Fees, Costs and Expenses All fees, costs and expenses (including attorneys’ fees and expenses) incurred by any party hereto in connection with the preparation, negotiation and execution of this Agreement and the exhibits and schedules hereto and the consummation of the transactions contemplated hereby and thereby shall be the sole and exclusive responsibility of such party. In addition, the Company will pay the costs associated with any filings with, or compliance with any of the requirements of any governmental authorities.

  • Interview Expenses An in-service applicant for a posted position who is not on leave of absence without pay and who has been called for a panel interview shall be granted leave of absence with base pay and shall have their authorized expenses paid. An employee granted leave under this section shall notify their supervisor as soon as they are notified of their requirement to appear for an interview.

  • Administration Expenses The Company agrees to pay any Administration Expenses to the County when and as they shall become due, but in no event later than the date which is the earlier of any payment date expressly provided for in this Fee Agreement or the date which is forty-five (45) days after receiving written notice from the County, accompanied by such supporting documentation as may be necessary to evidence the County’s or Indemnified Party’s right to receive such payment, specifying the nature of such expense and requesting payment of same.
