Common use of Assignment or other Transfer Clause in Contracts

Assignment or other Transfer. XXXXXXX OPERATING RESOURCES covenants that, during this Operating Agreement and for such further time as XXXXXXX OPERATING RESOURCES shall hold the Oil Terminal or any part thereof, XXXXXXX OPERATING RESOURCES will not assign or encumber this Operating Agreement nor sublet the whole or any part of the Oil Terminal without first obtaining on each occasion the written consent of XXXXXXX MASSACHUSETTS. XXXXXXX MASSACHUSETTS may assign the Operating Agreement or otherwise transfer its interest in the Oil Terminal with notice to XXXXXXX OPERATING RESOURCES.
