Common use of Assignment by Operator Clause in Contracts

Assignment by Operator. Operator shall not assign its rights and obligations under this Agreement without the approval of Owner. After an assignment of this Agreement following receipt of approval for any assignment as provided for in the preceding sentence, Operator's liability hereunder shall terminate for any of its obligations on the date of such assignment.

Assignment by Operator. Operator shall not assign assign, pledge or encumber this Agreement or its rights and obligations under interest in this Agreement without the approval express prior written consent of Owner. After Owner agrees not to unreasonably withhold or delay its consent to an assignment by Operator to An Affiliate of Operator in a company-wide corporate or equivalent restructuring of Operator. Upon any permitted assignment of this Agreement following receipt and the assumption of approval for this Agreement by the assignee, the assignor shall be relieved of any assignment as provided for in obligation or liability under this Agreement arising after the preceding sentence, Operator's liability hereunder shall terminate for any of its obligations on the effective date of such the assignment.

It is understood and agreed that any approval given by the Owner to any assignment shall not be deemed a waiver of the covenant herein contained against assignment in any subsequent case.
