ASSIGNMENT BY HOPEWELL. HOPEWELL may not without the consent of NAPOCOR, subject to Article 19.3, transfer all or any of its obligations hereunder but may, for the purposes of arranging or rearranging finance for the Project, assign or transfer to any person providing finance to the Project all or any part of its rights and benefits hereunder but not its obligations and NAPOCOR shall duly acknowledge any such assignment or transfer of which it is given notice.
