Assignability; Governing Law; Instrument Under Seal. This Note shall bind and inure to the benefit of the Borrower and the Lender and their respective successors and assigns, including as such successors and assigns of the Lender any holder of this Note; provided, however, that the obligations of the Borrower hereunder may not be assigned except with the prior written consent of the Majority Noteholders, and provided further that the Lender may not assign this Note except to an affiliate who is an “accredited investor” as that term is defined under Regulation D promulgated under the Securities Act of 1933, as amended, and except as may otherwise be agreed to by (i) the Majority Noteholders in writing and (ii) the Borrower in writing. This Note shall have the effect of an instrument executed under seal and shall be governed by and construed in accordance with the laws (other than the conflict of laws rules) of the State of Delaware. No rule of strict construction shall be used against the Lender with respect to this Note or any such document.

TO THE EXTENT THAT ANY GUARANTOR HAS OR HEREAFTER MAY ACQUIRE ANY IMMUNITY FROM JURISDICTION OF ANY COURT OR FROM ANY LEGAL PROCESS (WHETHER FROM SERVICE OR NOTICE, ATTACHMENT PRIOR TO JUDGMENT, ATTACHMENT IN AID OF EXECUTION OF A JUDGMENT, EXECUTION OR OTHERWISE), EACH SUCH GUARANTOR HEREBY IRREVOCABLY WAIVES SUCH IMMUNITY IN RESPECT OF ITS OBLIGATIONS UNDER THIS GUARANTEE.
