As President. CEO the Employee shall devote all of his or her attention and abilities to the development of Employer's business and shall work within the guidelines set from time to time by the Board of Directors and shall well and faithfully serve Employer and use his or her utmost endeavors to promote the interests thereof. It is understood that initially the position will be part-time and will increase to full-time as the company grows.
As President you would be employed at a base salary of $10,000 USD per month, subject, of course to applicable tax withholdings and otherwise in accordance with payroll practices adopted by the company from time to time. In addition to your base salary, the Company has agreed to pay you a bonus of $10,000 USD during November, 2004 (assuming you have not separated from the service of the Company at that time), and the Company is prepared to offer you additional incentive compensation in the form of participation in the Company's stock option program in the following manner:

Xxxxx shall perform all duties required by law, by this Agreement, and by custom and practice to be performed by a university president including, but not limited to, providing leadership for the University while administering and directing the University plans, operations, programs and activities consistent with the mission, scope and organization of the University as more fully described in the position description of the University President attached to this Agreement as Exhibit A.

  • Vice President In the absence of the President or in the event of the President’s inability to act, the Vice President, if any (or in the event there be more than one Vice President, the Vice Presidents in the order designated by the Directors, or in the absence of any designation, then in the order of their election), shall perform the duties of the President, and when so acting, shall have all the powers of and be subject to all the restrictions upon the President. A Vice Chairman need not be a member of the Board.
