Arrangement Fees. The Borrower shall pay arrangement and other fees to the Arranger and the Syndication Agent for their own account in the amounts and at the times specified in the letter agreement, dated March 21, 2001 (the "Arranger Fee Letter"), among the Borrower, the Arranger and the Syndication Agent. Such fees shall be fully earned when paid and shall be nonrefundable for any reason whatsoever.
Arrangement Fees. On the Commencement Date, the Guarantor shall pay to the Lead Arrangers the fees specified in the letter dated on or about the date of this Agreement from the Lead Arrangers to the Guarantor at the times and in the amounts specified in such letter.
Arrangement Fees. On or before the Closing Date, Borrower shall pay to Bayerische Hypo-Und Vereinsbank AG, New York Branch, an arrangement fee (the "Arrangement Fee") in the amount specified in the letter of even date herewith between Borrower and Agent.

Arrangement Fees. On the Closing Date, the Borrower shall pay to the Administrative Agent, for the account of the Co-Arrangers as previously agreed among them, arrangement fees in the amounts previously agreed among the Borrower and the Co-Arrangers.
Arrangement Fees. On the Closing Date, Borrower shall pay to each of the Co-Lead Arrangers fees in the amounts set forth in the Fee Letters with the Co-Lead Arrangers. These fees are fully earned as of the Closing Date, are solely for the account of the Co-Lead Arrangers and are non-refundable.
Arrangement Fees. The Account Party shall pay to the Lead Arranger the fees specified in the letter dated 14 October 2002 from the Lead Arrangers to the Account Party at the times, and in the amounts, specified in such letter.
Arrangement Fees. (a) The Borrower must pay to the Lender an arrangement fee of USD285,000, being 0.3 per cent. of the Commitment as at the date of this Agreement.

These fees are for the services of the Lead Arrangers in arranging the credit facilities under this Agreement and are fully earned when paid and are nonrefundable.
