Approved Suppliers. The Franchisee shall purchase all products, services, supplies and materials required for the operation of the ROCKY MOUNTAIN CHOCOLATE FACTORY Store licensed herein, from manufacturers, suppliers or distributors designated by the Franchisor or, if there is no designated supplier for a particular product, service, supply or material, from such other suppliers who meet all of the Franchisor’s specifications and standards as to quality, composition, finish, appearance and service, and who shall adequately demonstrate their capacity and facilities to supply the Franchisee’s needs in the quantities, at the times, and with the reliability requisite to an efficient operation.

Approved Suppliers. The FRANCHISEE will purchase from suppliers approved in writing by CITY LOOKS all products, goods, merchandise, supplies, sundries, toiletries, grooming aids, furniture, fixtures, equipment and services (sometimes referred to in this Agreement as "goods and services") to be used or sold by the FRANCHISEE in conjunction with the operation of its City Looks business which CITY LOOKS determines meet the standards of quality and uniformity required to protect the valuable goodwill and uniformity symbolized by and associated with the Marks and the Business System. The FRANCHISEE will have the right and option to purchase all goods and services from other or outside suppliers provided that such goods and services conform in quality to CITY LOOKS' standards and specifications. If the FRANCHISEE desires to purchase any goods and services from other suppliers, then, if requested by CITY LOOKS, the FRANCHISEE will submit samples, specifications, and information regarding the manufacturer to CITY LOOKS for review to determine whether the goods and services comply with CITY LOOKS' standards and specifications. Any expenses incurred by CITY LOOKS in evaluating unapproved products will be paid by the FRANCHISEE. The written approval of CITY LOOKS must be obtained by the FRANCHISEE prior to the time that any previously unapproved goods and services are used or sold at the FRANCHISEE'S City Looks business. All such goods and services must be those classified as "professional" goods and services sold or provided only in professional hair salons.
Approved Suppliers. Subject to Section 7.5C, Starwood may require Vistana to buy any Equipment and Supplies or services used as part of the Applicable System solely from Approved Suppliers. In designating an Approved Supplier, Starwood will consider if the prices and terms of the products or services available from such supplier are competitive with those of similar items of equal quality available on an arm’s length basis to similar companies in the hotel industry from other reputable and qualified unrelated third-party suppliers. These may be grouped in reasonable categories rather than being compared item by item. Starwood or its Affiliates may offer products and services for sale to Vistana and other Persons and Starwood may designate Starwood or its Affiliates as an Approved Supplier or sole Approved Supplier for any Equipment and Supplies and/or services. If any supplier ceases to be an Approved Supplier, Vistana may not reorder from such supplier after receiving notice of such change. Starwood will determine the number of Approved Suppliers (if any) for any product or service, which could be only one. Notwithstanding anything to the contrary in this Agreement, Starwood and its Affiliates may (i) receive payments, fees, rebates, commissions or reimbursements from suppliers (including Approved Suppliers) and other third parties in respect of any products and services purchased by the Licensed Vacation Ownership Properties, (ii) own or have investments in such suppliers and third parties and (iii) derive a financial benefit from the Licensed Vacation Ownership Properties’ purchases of such products and services.
Approved Suppliers. The Franchisee shall purchase all products, services, supplies and materials required for the operation of the PAK MAIL Center from suppliers designated or approved by the Franchisor or, if there is no designated or approved supplier for a particular product, service, supply or material, from such other suppliers who meet all of the Franchisor's specifications and standards as to quality, composition, finish, appearance and service, and who shall adequately demonstrate their capacity and facilities to supply the Franchisee's needs in the quantities, at the times, and with the reliability requisite to an efficient operation of the PAK MAIL Center.
Approved Suppliers. Franchisee shall purchase all equipment, products, services, supplies, and materials required for the operation of the Restaurant from manufacturers, suppliers, or distributors designated by Franchisor and its affiliates or, if there is no designated supplier for a particular product, equipment, service, supply, or material, from such other suppliers who meet all of Franchisor's and its affiliates' specifications and standards as to quality, composition, finish, appearance, and service and adequately demonstrate their capacity and facilities to supply Franchisee's needs in the quantities, at the times, and with the reliability requisite to an efficient operation. Franchisor and its affiliates reserve the right to designate, from time to time, a single supplier for any services, products, equipment, supplies, or materials and to require Franchisee to use such a designated supplier exclusively, which exclusive designated supplier may be Franchisor or its affiliates. Franchisor and its affiliates may receive payments from suppliers on account of such suppliers' dealings with Franchisee and other franchisees and may use all amounts so received without restriction and for any purpose Franchisor and its affiliates deem appropriate (unless Franchisor and its affiliates agree otherwise with the supplier).
Approved Suppliers. In order to assure uniformity and conformity among Restaurants in the System, Franchisee agrees to purchase all products for sale at the Restaurant from suppliers who are then approved in writing by the Company as an approved Xxxxxx'x Grill supplier. In the event that Franchisee desires to purchase any products from a supplier who is not so approved, Franchisee will notify the Company of such supplier and instruct the proposed supplier to contact the Company and follow the Company's procedures for becoming an approved Xxxxxx'x Grill supplier. Franchisee shall at all times have full discretion in establishing the price of any product or service sold by the company.
Approved Suppliers. Where the Specifications name one or more ------------------ Approved Supplier(s) for a Material, Supplier shall obtain that Material only from an Approved Supplier.

Prior to subcontracting, Seller shall contact Buyer for approval, and Seller may only use subcontractors approved by Buyer and / or its customers.
