ARS will study experimental culture conditions for the ARS-PICM-19 cell line, its derivative cell lines, or other pig epiblast-derived liver cell lines (as described under ARS patent #5,532,156, “Hepatocyte Cell Line Derived from the Epiblast of Pig Blastocysts”) so as to optimize their hepatocyte functions for use as an in-vitro liver model, for their use in an artificial liver device, and for their use in the in-vitro assay of metabolic, toxic, or carcinogenic responses. The ACF would like to engage a legal consultant/firm based on one fixed hourly or daily rate for all types of the legal reviews. • In terms of payment, the service provider is to provide a list of deliverables in a timesheet to validate the actual number of hours spent. The ACF will process the payment based on the evaluation of the deliverables and the number of hours or days spent. • The Service Provider will only process the legal services request initiated by the ACF. • The legal consultant/firm must respond in a timely manner once a request is initiated from the ACF. • Legal firm to advice on the time required to respond to the ACF’s request and confirm the number of hours required to deliver the legal review before commencing the job Agreement Terms: • The agreement term is limited to the multiple-time service providing, as mentioned in the present agreement through the contractual period (one year). • The purpose of this agreement is to address the multiple legal inputs required by ACF Myanmar Country Office, which will be carried out as per individual assignment by the ‘Consultant Law Firm’. • The tasks should be carried out and completed in as per schedule which may be changed under compel circumstances. • Once the task is agreed, accepted and deliverable outcomes are received by ACF, ACF will acknowledge the reception through a completion report based on which the payments will be processed and cleared. • The assignment will expire automatically after successfully submission of deliverables as expected by ACF Myanmar and will remain the property of ACF Myanmar. • If not renewed or the contract is terminated, the agreement will automatically expire after the contractual period (one year).
