APPOINTMENT OF SUB-ADVISER. The Adviser hereby appoints the Sub-Adviser to act as sub-adviser to the Portfolio(s), subject to the supervision and oversight of the Adviser and the Trust Board, and in accordance with the terms and conditions of this Agreement. The Sub-Adviser will be an independent contractor and will have no authority to act for or represent the Adviser or the Trust in any way or otherwise be deemed an agent of the Adviser or the Trust, except as expressly authorized in this Agreement or another writing by the Adviser or the Trust and the Sub-Adviser.

APPOINTMENT OF SUB-ADVISER. The Sub-Adviser will be an independent contractor and will have no authority to act for or represent the Adviser Trust or the Trust Manager in any way or otherwise be deemed an agent of the Adviser Trust or the Trust, Manager except as expressly authorized in this Agreement or another writing by the Adviser or Trust, the Trust Manager and the Sub-Adviser.

The Adviser Manager hereby appoints the Sub-Adviser to act as one of the investment sub-adviser to advisers for the Portfolio(s)Portfolio, subject to the supervision and oversight control of the Adviser Manager and the Trust BoardTrustees of the Trust, and in accordance with the terms and conditions of this Agreement. The Sub-Adviser will be an independent contractor and will have no authority to act for or represent the Adviser Trust or the Trust Manager in any way or otherwise be deemed an agent of the Adviser Trust or the Trust, Manager except as expressly authorized in this Agreement or another writing by the Adviser or Trust, the Trust Manager and the Sub-Adviser.

APPOINTMENT OF SUB-ADVISER. The Adviser hereby appoints the Sub-Adviser adviser undertakes to act as investment sub-adviser to the Portfolio(s)Fund and, subject to the supervision and oversight control of the Adviser Trustees of the Trust and the Trust Board, and in accordance with the terms and conditions of this Agreement, to manage the investment and reinvestment of the assets of the Fund. The Sub-Adviser adviser will be an independent contractor and will have no authority to act for or represent the Adviser Trust, the Fund or the Trust Adviser in any way or otherwise be deemed an agent of the Adviser or the Trust, except as expressly authorized in this Agreement or another writing by the Adviser Trust or the Trust and the Sub-Adviser.

(“Adviser”) and the Trust BoardTrustees, and in accordance with the terms and conditions of this Agreement. The Sub-Adviser will be an independent contractor and will have no authority to act for or represent the Adviser Trust or the Trust Adviser in any way or otherwise be deemed an agent of the Adviser Trust or the Trust, Adviser except as expressly authorized in this Agreement or another writing by the Trust, the Adviser or the Trust and the Sub-Adviser.

The Adviser Manager hereby appoints the Sub-Adviser to act as sub-an investment adviser to the Portfolio(s)for each Portfolio, subject to the supervision and oversight of the Adviser Manager and the Trust BoardTrustees of the Trust, and in accordance with the terms and conditions of this Agreement. The Sub-Adviser will be an independent contractor and will have no authority to act for or represent the Adviser Trust or the Trust Manager in any way or otherwise be deemed an agent of the Adviser Trust or the Trust, Manager except as expressly authorized in this Agreement or another writing by the Adviser or Trust, the Trust Manager and the Sub-Adviser.

APPOINTMENT OF SUB-ADVISER. The Adviser hereby appoints the Sub-Adviser to act as investment sub-adviser or co-investment sub-adviser with respect to the Portfolio(s)Master Portfolios, subject to under the supervision and oversight of the Adviser and subject to the Trust Boardpolicies and control of the Trust's Board of Trustees, and in accordance with the Sub-Adviser hereby accepts such appointment, all subject to the terms and conditions of this Agreement. The Sub-Adviser will be an independent contractor and will have no authority to act for or represent the Adviser or the Trust in any way or otherwise be deemed an agent of the Adviser or the Trust, except as expressly authorized in this Agreement or another writing by the Adviser or the Trust and the Sub-Advisercontained herein.

The Sub-Adviser will be an independent contractor and will have no authority to act for or represent the Adviser or the Trust in any way or otherwise be deemed an agent of the Adviser or the Trust, except as expressly authorized in this Agreement or another writing by the Adviser or the Trust and the Sub-Advisercontained herein.

The Sub-Adviser will be an independent contractor and will have no authority to act for or represent the Adviser Trust or the Trust Manager in any way or otherwise be deemed an agent of the Adviser Trust or the Trust, Manager except as expressly authorized in this Agreement or another writing by the Adviser or Trust, the Trust Manager and the Sub-Adviser.

The Sub-Adviser will be an independent contractor and will have no authority to act for or represent the Adviser Trust or the Trust Adviser in any way or otherwise be deemed an agent of the Adviser Trust or the Trust, Adviser except as expressly authorized in this Agreement or another writing by the Trust, the Adviser or the Trust and the Sub-Adviser.
