Common use of Appointment for Perfection Clause in Contracts

Appointment for Perfection. Each Lender hereby appoints each other Lender and each Issuing Bank as its agent for the purpose of perfecting Liens for the benefit of the Administrative Agent, the Issuing Banks and the Lenders, in assets which, in accordance with Article 9 of the UCC or any other applicable Requirement of Law can be perfected only by possession. If any Lender or Issuing Bank (other than the Administrative Agent) obtains possession of any Collateral, such Lender or such Issuing Bank shall notify the Administrative Agent thereof and, promptly upon the Administrative Agent’s request therefor shall deliver such Collateral to the Administrative Agent or otherwise deal with such Collateral in accordance with the Administrative Agent’s instructions.

Appointment for Perfection. Each Lender Lender, Issuing Bank and Agent hereby appoints each other Lender and each Lender, Issuing Bank and Agent as its agent for the purpose of perfecting Liens in favor of any Agent to secure any of the Secured Obligations (in each case for the benefit of the Administrative Agent, the Issuing Banks and the applicable Lenders, Agents and Issuing Banks) in assets which, in accordance with Article 9 of the UCC or any other applicable Requirement of Law law can be perfected only by possession. If Should any Lender or Issuing Bank (other than the Administrative applicable Agent) obtains obtain possession of any such Collateral, such Lender or such Issuing Bank shall notify the Administrative applicable Agent thereof and, promptly upon the Administrative applicable Agent’s request therefor therefor, shall deliver such Collateral to the Administrative applicable Agent or otherwise deal with such Collateral in accordance with the Administrative applicable Agent’s instructions.

If any Lender or Issuing Bank (other than the Administrative Agent) obtains possession possession, control or notation of any Collateral, such Lender or such Lender, Issuing Bank shall notify the Administrative Agent thereof and, promptly upon the Administrative Agent’s request therefor shall deliver such Collateral to the Administrative Agent or otherwise deal with such Collateral in accordance with the Administrative Agent’s instructions.
