Appointment as Custodian. The Fund is registered as an open-end management investment company under the 1940 Act, and the Fund desires to retain Wachovia to serve as the Fund’s custodian and Wachovia is willing to furnish these services. The Fund hereby appoints Wachovia to act as custodian of its Securities, cash and other Property on the terms set forth in this Agreement. Wachovia accepts this appointment and agrees to furnish the services set forth below for the compensation as provided in Paragraph 27 of this Agreement.
Appointment as Custodian. Chase agrees to act as custodian for the Funds, as provided herein, in connection with (a) cash ("Cash") received from time to time from, or for the account of, each Fund for credit to each Fund's deposit account or accounts administered by Chase, Chase Branches and Domestic Securities Depositories (as hereinafter defined), and/or Foreign Banks and Foreign Securities Depositories (as hereinafter defined) (the "Deposit Account"); (b) all stocks, shares, bonds, debentures, notes, mortgages, or other obligations for the payment of money and any certificates, receipts, warrants, or other instruments representing rights to receive, purchase, or subscribe for the same or evidencing or representing any other rights or interests therein and other similar property ("Securities") from time to time received by Chase and/or any Chase Branch, Domestic Securities Depository, Foreign Bank or Foreign Securities Depository for the account of a Fund (the "Custody Account"); and (c) original margin and variation margin payments in a segregated account for futures contracts (the "Segregated Account"). All Cash held in the Deposit Account or in the Segregated Account in connection with which Chase agrees to act as custodian is hereby denominated as a special deposit which shall be held in trust for the benefit of each Fund and to which Chase, Chase Branches and Domestic Securities Depositories and/or Foreign Banks and Foreign Securities Depositories shall have no ownership rights, and Chase will so indicate on its books and records pertaining to the Deposit Account and the Segregated Account. All cash held in auxiliary accounts that may be carried for the Funds with Chase (including a Money Market Account, Redemption Account, Distribution Account and Imprest Account) is not so denominated as a special deposit and title thereto is held by Chase subject to the claims of creditors.
Appointment as Custodian. Subject to the terms and conditions hereof, the Originator, the Depositor, the Issuing Entity and the Indenture Trustee, as their interests may appear, hereby appoint U.S. Bank National Association, and U.S. Bank National Association hereby accepts such appointment, as Custodian to maintain custody of the Receivables, the Contracts and the Receivable Files during such time as each such Person is a Receivables Holder.
Appointment as Custodian. Subject to the terms and conditions hereof, the Depositors and the Trustee (for the benefit of the Certificateholders), as their interests may appear, hereby appoint BankBoston, N.A., and BankBoston, N.A., hereby accepts such appointment, as Custodian to maintain custody of the Mortgage Files during such time as each such Person is a Mortgage Holder. The Servicer shall be liable for all of the Custodian's fees and expenses under this Agreement.

The Fund hereby appoints First Union to act as custodian of its Securities, cash and other Property on the terms set forth in this Agreement. First Union accepts this appointment and agrees to furnish the services set forth below for the compensation as provided in Paragraph 29 of this Agreement.
Appointment as Custodian. Customer hereby constitutes and appoints Custodian as custodian of Property and Custodian agrees to act in the capacity as custodian with respect to the Property during the term of this Agreement. Custodian shall perform the Services and maintain the Account as set forth herein. Custodian shall be held to the exercise of reasonable care in carrying out its obligations under this Agreement. Custodian shall have no investment authority, nor any duty or obligation to supervise or advise Customer on any investments.
