Appointment and Delegation. The Fund hereby appoints UMB Bank, N.A. as Escrow Agent, on the terms set forth in this Agreement. UMB Bank, N.A. hereby agrees to serve as Escrow Agent on the terms set forth in this Agreement. The Fund hereby authorizes UMBFS, in its capacity as recordkeeper, to provide instructions to the Escrow Agent on the Fund’s behalf in accordance with the terms of this Agreement.
Appointment and Delegation. The Company hereby certifies to the Trustee that Pentegra Services, Inc. ("Pentegra") is the third party administrator appointed by the Named Fiduciary or the Company to receive, cumulate and communicate investment and distribution directions of the participants and beneficiaries of the Plan with respect to the Fund or the Investment Funds, and the Named Fiduciary has delegated such responsibility and authority exclusively to Pentegra. For purposes of this Agreement, Pentegra shall be a delegee of the Named Fiduciary in accordance with Section 405(c)(1)(B) of ERISA. Except as provided in Section 5.5, the Trustee shall act solely on the directions and instructions communicated to the Trustee by Pentegra and the Trustee shall not be liable for any failure to act on any direction or instruction of any other party.

The Fund hereby authorizes UMBFS, in its capacity as transfer agent, to provide instructions to the Escrow Agent on the Fund’s behalf in accordance with the terms of this Agreement and the Transfer Agency Agreement dated as of August 17, 2017 by and among each Fund, severally and not jointly, listed on Schedule A thereto, CMF and UMBFS.
Appointment and Delegation. The Trust hereby appoints Sxxxxxxx as transfer agent, fund accountant, administrator, dividend disbursing agent and anti-money laundering agent for the Trust on the terms and conditions set forth in this Agreement, and Sxxxxxxx hereby accepts such appointment and agrees to perform the Services as set forth in this Agreement. Sxxxxxxx may delegate certain obligations hereunder to an affiliated party, including, but not limited to Sxxxxxxx Software LLP. Sxxxxxxx may also delegate certain Services to its sub-contractor Commonwealth Fund Services. The Services of Sxxxxxxx shall be confined to those matters expressly set forth herein or as may be agreed to from time to time, and no implied duties are assumed by or may be asserted against Sxxxxxxx hereunder. Notwithstanding the foregoing, to the extent the Trust determines that it would be appropriate to engage another service provider (either directly or through Sxxxxxxx) as the sub-transfer agent, sub-fund accountant, sub-administrator, or, sub-dividend disbursing agent, Sxxxxxxx responsibilities with respect to such function shall be confined to overseeing such function.

(a) The Fund hereby appoints U.S. Trust to provide transfer agent and dividend disbursing services for the Fund, subject to the supervision of the Board of Trustees of the Fund (the "Board"), for the period and on the terms set forth in this Agreement. U.S. Trust accepts such appointment and agrees to furnish the services herein set forth in return for the compensation as provided in Paragraph 5 of this Agreement. The Fund currently consists of the portfolios (each a "Portfolio" and, collectively, the "Portfolios") identified in Schedule B hereto. The Fund shall notify U.S. Trust in writing of each additional Portfolio established by the Fund. Each new Portfolio shall be subject to the provisions of this Agreement, except to the extent that said provisions (including those relating to the compensation and expenses payable by the Fund) may be modified with respect to such new Portfolio in writing by the Fund and U.S. Trust at the time of the addition of such new Portfolio.
Appointment and Delegation. (a) The Principal may from time to time appoint an individual to exercise any functions of the Principal under this Contract (Principal’s Representative).
Appointment and Delegation. (a) MSIM hereby appoints the Administrator to provide fund accounting and fund administration services for MSIM for the benefit of the Fund, subject to the supervision of MSIM and the Board of Directors of the Fund (the "Board"), for the period and on the terms set forth in this Agreement. The Administrator accepts such appointment and agrees to furnish the services herein set forth in return for the compensation as provided in Paragraph 4 of this Agreement. In the event that the Fund establishes one or more additional portfolios with respect to which MSIM decides to retain the Administrator to act as administrator hereunder, MSIM shall notify the Administrator in writing. If the Administrator is willing to render such services to a new portfolio, they shall so notify MSIM in writing whereupon such portfolio shall become subject to the provisions of this Agreement to the same extent as the existing portfolios of the Fund, except to the extent that said provisions (including those relating to the compensation payable by MSIM) may be modified with respect to such portfolio in writing by MSIM and the Administrator at the time of the addition of such new portfolio.
