APPLICATION OF THIS SCHEDULE. 3.1 This Schedule applies to and is binding on La Trobe University in respect of all LTU/DPI Researchers employed in the Biosciences Research Centre; and
APPLICATION OF THIS SCHEDULE. 1.1 The provisions of this Schedule shall, together with clause 6.2, operate to limit the liability of the Warrantors in respect of any Claim.
APPLICATION OF THIS SCHEDULE. No amount shall be released out of the Retention Account otherwise than in accordance with this Schedule 6.
APPLICATION OF THIS SCHEDULE. The provisions of this schedule 5 shall, together with and subject to clause 5.2, operate to limit the liability of the Sellers in respect of any Claim.
APPLICATION OF THIS SCHEDULE. The provisions of this Schedule 2 shall apply to any claim against the Vendor for breach of the Vendor Warranties.
APPLICATION OF THIS SCHEDULE. The provisions of this schedule 8 shall apply to all Warranty Claims and Tax Claims, save that Tax Claims shall be subject solely to the limitations set out in paragraphs 2.1, 2.2, 2.3, 2.4, 2.5, 4.2, 5, 6, 9, 11 and 14 of this schedule to the extent expressed to be applicable, and Fundamental Warranty Claims shall be subject solely to the limitations set out in paragraphs 2.4, 2.5, 3, 4.1, 5, 6 and 7 of this schedule.
APPLICATION OF THIS SCHEDULE. Any of the restrictions proscribed by any other paragraph of this Schedule may be waived or varied with the prior written consent of the Buyer and subject to such conditions as it may impose.
APPLICATION OF THIS SCHEDULE. 1.1 Subject to paragraph 1.2 of this Schedule 3, the parties intend that the provisions of this Schedule 3 apply to this Agreement and, where so stated to the other Share Purchase Documents.
APPLICATION OF THIS SCHEDULE. The parties intend that all of the provisions of this Schedule 6 apply to any Claim against the Seller (for the avoidance of doubt this does not include any claim against the Seller for any breach of the Tax Warranties or any claim under the Tax Covenant, which shall be subject solely to the provisions of the Tax Covenant and to paragraphs 2(a)(ii), 2(b), 3.2, 4, 7, 8 and 11 only of this Schedule 6, and solely with respect to any claim against the Seller for any breach of the Tax Warranties, to paragraph 5 of this Schedule 6).
APPLICATION OF THIS SCHEDULE. No amount shall be released out of the Escrow Account otherwise than in accordance with this Schedule 7. Schedule 7 – Retention Amount and Escrow Account
