Application of Provision, etc. This Article XIII shall apply as set forth above except as otherwise provided by applicable Law. It is the intention of this Article XIII to take full advantage of statutory amendments, the effect of which may be to specifically authorize or approve provisions such as this Article XIII. No alteration, amendment, termination, expiration or repeal of this Article XIII nor the adoption of any provision of this Agreement inconsistent with this Article XIII shall eliminate, reduce, apply to or have any effect on the protections afforded hereby to any director, officer, employee or shareholder of the Company Entities or their Affiliates for or with respect to any investments, activities or opportunities of which such director, officer, employee or shareholder becomes aware prior to such alteration, amendment, termination, expiration, repeal or adoption, or any matters occurring, or any cause of action, suit or claim that, but for this Article XIII, would accrue or arise, prior to such alteration, amendment, termination, expiration, repeal or adoption.
