Common use of Annual Compensation Clause in Contracts

Annual Compensation. “Annual Compensation” shall mean an amount equal to the sum of (i) the Employee’s annual base salary, and (ii) 100% of the Employee’s Target Bonus, as in effect on the date of the Change of Control or Employee’s termination, in each case, whichever is higher.

Annual Compensation. “Annual Compensation” shall mean an amount equal to the sum of (i) the Employee’s Company annual base salarysalary as in effect immediately preceding the Change of Control, and (ii) 100% of the Employee’s Target Bonus, as in effect on the date of the Change of Control or Employee’s termination, in each case, whichever is higher.

Annual Compensation. “Annual Compensation” shall mean means an amount equal to the sum greater of (i) the Employee’s annual base salary, and Base Salary for the twelve (ii12) 100% of the Employee’s Target Bonus, as in effect on the date of months preceding the Change of Control plus the employee’s target bonus for the same period, or (ii) Employee’s termination, in each case, whichever is higherBase Salary on an annualized basis and the employee’s target bonus as of the Termination Date.

Annual Compensation. “Annual Compensation” shall mean means an amount equal to the sum greater of (i) the Employee’s annual base salary, and salary for the twelve (ii12) 100% of the Employee’s Target Bonus, as in effect on the date of months preceding the Change of Control plus the employee’s target bonus for the same period (but not less than 85% of such base salary), or (ii) Employee’s termination, in each case, whichever is higherbase salary on an annualized basis and the employee’s target bonus as of the Termination Date (but not less than 85% of such base salary).

Annual Compensation. “Annual Compensation” shall mean an amount equal to the sum of (i) the Employee’s annual base salary, salary and (ii) one hundred percent (100% %) of the Employee’s Target Bonus, Bonus as in effect in each case on the date of the Change of Control or Employee’s termination, in each casethe Triggering Event, whichever is higher.

Annual Compensation. “Annual Compensation” shall mean means an amount equal to the sum of Employee’s (i) annual Company salary at the Employee’s annual base salaryhighest rate in the effect in the twelve months immediately preceding the applicable measurement date, and (ii) 100% of the Employee’s Target Bonus, annual target bonus as in effect on immediately prior to the date of the Change of Control or Employee’s termination, in each case, whichever is higherapplicable measurement date.
