Annual Audit Report. On or before February 28 of each year, beginning with February 28, 2006, the Servicer shall, at its own expense, cause a firm of independent public accountants (who may also render other services to the Servicer), which is a member of the American Institute of Certified Public Accountants, to furnish to the Master Servicer and the party required to provide a certification directly to the U.S. Securities and Exchange Commission (the “Commission”) pursuant to Xxxxxxxx-Xxxxx (as defined below) (the “Sarbanes Certifying Party”) to the effect that such firm has examined certain documents and records relating to the servicing of mortgage loans similar in nature to the Mortgage Loans and that such firm is of the opinion that the provisions of this or similar Agreements have been complied with, and that, on the basis of such examination conducted substantially in compliance with the Uniform Single Attestation Program for Mortgage Bankers (or such other attestation program as may be required by applicable law or regulation), nothing has come to their attention which would indicate that such servicing has not been conducted in compliance therewith, except for (i) such exceptions as such firm shall believe to be immaterial, and (ii) such other exceptions as shall be set forth in such statement. The Seller shall cause the Depositor to provide a copy of such report to the Trustee. By providing the Master Servicer and the Sarbanes Certifying Party a copy of a Uniform Single Attestation Program Report (and/or such other reports as may be required by applicable law or regulation) from their independent public accountants on an annual basis, the Servicer shall be considered to have fulfilled its obligations under this Section 5.04.

The Seller shall cause with the Depositor to provide a copy of such report to the Trustee. By providing the Master Servicer and the Sarbanes Certifying Party a copy of a Uniform Single Attestation Program Report for Mortgage Bankers (and/or or such other reports attestation program as may be required by applicable law or regulation) from their independent public accountants on an annual basisexcept for such exceptions that, in the opinion of such firm, the Servicer Uniform Single Attestation Program for Mortgage Bankers requires it to report, in which case such exceptions shall be considered to have fulfilled its obligations under this Section 5.04set forth in such statement.
