Common use of and Terrorist Financing Act Clause in Contracts

and Terrorist Financing Act. (Canada) (for the purposes of this paragraph the “PCMLTFA”) and you acknowledge that the Corporation may in the future be required by law to disclose the name of the Subscriber and other information relating to this Subscription Agreement and the subscription hereunder, on a confidential basis, pursuant to the PCMLTFA. To the best of your knowledge (a) none of the subscription funds provided by the Subscriber (i) have been or will be derived directly or indirectly from or related to any activity that is deemed criminal under the laws of Canada, the United States of America, or any other jurisdiction, or (ii) are being tendered on behalf of a person or entity who has not been identified to you and, (b) you will promptly notify the Corporation if you discover that any of such representations cease to be true, and to provide the Corporation with appropriate information in connection therewith.

(Canada) (for the purposes of this paragraph the “PCMLTFA”) and you acknowledge the Purchaser acknowledges that the Corporation Company may in the future be required by law to disclose the Subscriber’s name of the Subscriber and other information relating to this Subscription Agreement and the Subscriber’s subscription hereunder, on a confidential basis, pursuant to the PCMLTFA. To the best of your knowledge (a) the Subscriber’s knowledge, none of the subscription funds to be provided by the Subscriber (ia) have been or will be derived directly or indirectly from or related to any activity that is deemed criminal under the laws of Canada, the United States of America, or any other jurisdiction, ; or (iib) are being tendered on behalf of a person or entity who has not been identified to you andthe Subscriber, (b) you and the Subscriber will promptly notify the Corporation Company if you discover the Subscriber discovers that any of such representations cease ceases to be true, true and to will provide the Corporation Company with appropriate information in connection therewith.;

(Canada) (for the purposes of this paragraph the “PCMLTFA”) and you acknowledge IFC acknowledges that the Corporation Company may in the future be required by law to disclose the IFC's name of the Subscriber and other information relating to this Subscription Agreement and the IFC's subscription hereunder, on a confidential basis, pursuant to the PCMLTFA. To the best of your knowledge its knowledge: (ai) none of the subscription funds to be provided by IFC to the Subscriber Company hereunder (i) have A)have been or will be derived directly or indirectly from or related to any activity that is deemed criminal under the laws law of Canada, the United States of AmericaU.S., or any other jurisdiction, or (ii) are B)are being tendered on behalf of a person or entity who has not been identified to you and, IFC; and (b) you will ii)it shall promptly notify the Corporation Company if you discover IFC discovers that any of such representations cease to be true, and to provide the Corporation Company with appropriate information in connection therewith.;

(Canada) (for the purposes of this paragraph the “PCMLTFA”) and you acknowledge the Offeror acknowledges that the Corporation Company may in the future be required by law to disclose the Offeror’s name of the Subscriber and other information relating to this Subscription Agreement subscription and the Offeror’s subscription hereunder, on a confidential basis, pursuant to the PCMLTFA. To the best of your its knowledge (a) none of the subscription funds to be provided by the Subscriber Offeror (i) have been or will be derived directly or indirectly from or related to any activity that is deemed criminal under the laws of Canada, the United States of America, or any other jurisdiction, or (ii) are being tendered on behalf of a person or entity who has not been identified to you andthe Offeror, and (b) you will it shall promptly notify the Corporation Company if you discover the Offeror discovers that any of such representations cease ceases to be true, and to provide the Corporation Company with appropriate information in connection therewith.; and

To the best of your knowledge (a) none of the subscription funds provided by the Subscriber you (i) have been or will be derived directly or indirectly from or related to any activity that is deemed criminal under the laws law of Canada, the United States of America, or any other jurisdiction, or (ii) are being tendered on behalf of a person or entity who has not been identified to you andyou, and (b) you will promptly notify the Corporation if you discover that any of such representations cease to be true, and to provide the Corporation with appropriate information in connection therewith.

(Canada) (for the purposes of this paragraph the “PCMLTFA”) and you acknowledge the Investor acknowledges that the Corporation Company may in the future be required by law to disclose the name of the Subscriber Investor and other information relating to this Subscription Agreement and the subscription hereunder, on a confidential basis, pursuant to the PCMLTFA. To the best of your Investor’s knowledge (a) none of the subscription funds provided by the Subscriber Investor (i) have been or will be derived directly or indirectly from or related to any activity that is deemed criminal under the laws of Canada, the United States of America, or any other jurisdiction, or (ii) are being tendered on behalf of a person or entity who has not been identified to you and, Investor; and (b) you the Investor will promptly notify the Corporation Company if you discover the Investor discovers that any of such representations cease to be true, and to provide the Corporation Company with appropriate information in connection therewith.

To the best of your knowledge (a) the Purchaser’s knowledge, none of the subscription funds to be provided by the Subscriber Purchaser (i) have been or will be derived directly or indirectly from or related to any activity that is deemed criminal under the laws of Canada, the United States of America, or any other jurisdiction, ; or (ii) are being tendered on behalf of a person or entity who has not been identified to you andthe Purchaser, (b) you and the Purchaser will promptly notify the Corporation Company if you discover the Purchaser discovers that any of such representations cease ceases to be true, true and to will provide the Corporation Company with appropriate information in connection therewith.

To the best of your such Purchaser’s knowledge (a) none of the subscription funds provided by the Subscriber such Purchaser (i) have been or will be derived directly or indirectly from or related to any activity that is deemed criminal under the laws of Canada, the United States of America, or any other jurisdiction, or (ii) are being tendered on behalf of a person or entity who has not been identified to you by such Purchaser and, (b) you such Purchaser will promptly notify the Corporation Company if you discover it discovers that any of such representations cease to be true, and to provide the Corporation Company with appropriate information in connection therewith.

(Canada) (for the purposes of this paragraph the “PCMLTFA”) and you acknowledge the Lender acknowledges that the Corporation Company may in the future be required by law to disclose the Lender’s name of the Subscriber and other information relating to this Subscription Agreement and the Lender’s subscription hereunder, on a confidential basis, pursuant to the PCMLTFA. To the best of your its knowledge (a) none of the subscription funds Purchase Price or Exercise Price to be provided by the Subscriber Lender (i) have been or will be derived directly or indirectly from or related to any activity that is deemed criminal under the laws law of Canada, the United States of AmericaStates, or any other jurisdiction, or (ii) are being tendered on behalf of a person or entity who has not been identified to you andthe Lender, and (b) you will it shall promptly notify the Corporation Company if you discover the Lender discovers that any of such representations cease ceases to be true, and to provide the Corporation Company with appropriate information in connection therewith.
