Amendment to the Warrant. 1.1 Section 8 of the Warrant is hereby amended and restated in its entirety to read as follows:
Amendment to the Warrant. Notwithstanding anything in the Warrants to the contrary, the number of Warrant Units (as defined in the Warrants) exercisable pursuant to the Warrants shall double only if the Company does not consummate an initial public offering by February 28, 2018.
Amendment to the Warrant. Subject to satisfaction of the conditions --------------------------- precedent set forth in Section 5 below, Section 10 of the Warrant is hereby amended and restated in its entirety to provide as follows:

In consideration for entering into this Amendment, the parties hereby agree to amend the currently outstanding Series B-2 Warrant to purchase 3,111,111 shares of common stock of the Payor held by the Payee pursuant to the Amendment No. 1 To Series B-2 Warrant To Purchase Shares of Common Stock of Arcadia Resources, Inc. attached hereto as Exhibit A.
Amendment to the Warrant. The definition of “Exercise Price” in Section 1 of the Warrant is hereby amended and restated to read in its entirety as follows:
Amendment to the Warrant. 1.1 The following paragraph shall be inserted second paragraph of the Note is hereby amended and restated in its entirety as follows: IMAGING3, INC., a corporation organized under the laws of California (the “Company”), hereby certifies that, for value received, __________________________, or assigns (the “Holder”), is entitled, subject to the terms set forth below, to purchase from the Company (as defined herein) from and after the Issue Date of this Warrant and at any time, up to __________ fully paid and nonassessable shares of Common Stock (as hereinafter defined), par value of $0.001 per share, at the applicable Exercise Price per share (as defined below). This number of shares represents twenty-five percent (25.0%) of the number of shares that the Holder had the right to purchase in the warrant as originally issued and as stated just below the legend above. The number and character of such shares of Common Stock and the applicable Exercise Price per share are subject to adjustment as provided herein.
Amendment to the Warrant. Effective as of the Effective Date, this Warrant shall be amended as follows:
Amendment to the Warrant. The second paragraph of the Warrant is hereby amended and restated in its entirety to read: “This warrant may be exercised by Holders at any time or from time to time on or prior to September 30, 2016.”
