Amendment to Existing Agreement. The Existing Agreement is, effective as of the date hereof and subject to the satisfaction of the conditions precedent set forth in Section 2 hereof, hereby amended as follows:

Amendment to Existing Agreement. This Agreement shall replace clause 2.0 in the Amended Consultant Agreement dated July 10, 2013 and amend it accordingly.

For the avoidance of doubt, the Parties agree that, as of the Effective Date and continuing in full force during the Term, the Existing Agreement shall cease to apply to the Targets. In the event that there is a conflict between the terms of this Agreement and the Existing Agreement, the terms of this Agreement shall prevail. The terms of the Existing Agreement shall continue in full force and effect in respect of any compounds that do not bind to either of the Targets. Amendment to Existing Agreement. This Agreement shall replace clause 6.0 in the Employment Agreement and Amendment and amend it accordingly.
