Amendment of Governing Documents. The Borrowers shall not, and -------------------------------- shall not permit any of their Subsidiaries or any other Person to, amend, modify or supplement its Certificate of Incorporation, its By-Laws or any other organizational or governing document of either Borrower or any of their Subsidiaries, unless required by law.
