Amended Certificate. In the event this Agreement shall be amended pursuant to this Article, the General Partner shall amend the Certificate of Limited Partnership to reflect such change if it deems such amendment of the Certificate to be necessary or appropriate. Any such amendment shall be filed in the Office of the Illinois Secretary of State and recorded with the appropriate county Recorder of Deeds if required by law.
Amended Certificate. In the event this Agreement shall be amended pursuant to this Article, the General Partner shall amend the Certificate of Limited Partnership to reflect such change if it deems such amendment of the Certificate to be necessary or appropriate. Amended Certificate. Before the Closing Date, the Amended and Restated Certificate of Incorporation of the Company, in the form filed as Exhibit 3.1 to the Registration Statement (the “Amended Certificate”) shall have been filed with the Secretary and shall become effective under the DGCL on the Closing Date.
Amended Certificate. In the event this Agreement shall be amended pursuant to this Article, the General Partner shall amend the Certificate of Limited Partnership to reflect such change if it deems such amendment of the Certificate to be necessary or appropriate. Any such amendment shall be filed in the Office of the Secretary of State of Texas.
Amended Certificate. The parties hereto acknowledge and agree that in connection with the execution of this Agreement, the Certificate of Incorporation shall be amended to read in its entirety as set forth in Exhibit A hereto.
Amended Certificate. The Company shall have filed the Amended Certificate with the Secretary of State of Nevada on or prior to the Closing, which shall continue to be in full force and effect as of the Closing.
Amended Certificate. The Company shall, prior to or concurrently with the Closing, cause the Amended Certificate to be filed with the Secretary of State of the State of Delaware.
Amended Certificate. At or prior to the Closing, the Company shall amend and restate its certificate of incorporation in a form provided by Buyer (the "Amended Certificate").
Amended Certificate. The Amended Certificate shall be in full force and effect.
Amended Certificate. The General Partner shall amend the Certificate to reflect each Transfer for which such amendment is required by law to be filed.
