Alternative Transfer Mechanism. The parties agree that the data export solution identified in Section 8.2 shall not apply if and to the extent that MailChimp adopts an alternative data export solution for the lawful transfer of Personal Data (as recognized under EU Data Protection Laws) outside of the EEA (“Alternative Transfer Mechanism”), in which event, the Alternative Transfer Mechanism shall apply instead (but only to the extent such Alternative Transfer Mechanism extends to the territories to which Personal Data is transferred). Alternative Transfer Mechanism. The Standard Contractual Clauses will not apply to a Data Transfer if AWS has adopted Binding Corporate Rules for Processors or an alternative recognised compliance standard for lawful Data Transfers.

Alternative Transfer Mechanism. To the extent Xxxxxxxx adopts an alternative data export mechanism (including any new version of or successor to the Standard Contractual Clauses or Privacy Shield) for the transfer of European Data not described in this DPA ("Alternative Transfer Mechanism"), the Alternative Transfer Mechanism shall apply instead of the transfer mechanisms described in this DPA (but only to the extent such Alternative Transfer Mechanism complies with applicable European Data Protection Law and extends to the countries to which European Data is transferred). In addition, if and to the extent that a court of competent jurisdiction or supervisory authority orders (for whatever reason) that the measures described in this DPA cannot be relied on to lawfully transfer European Data (within the meaning of applicable European Data Protection Law), Chargifi may implement any additional measures or safeguards that may be reasonably required to enable the lawful transfer of European Data.
Alternative Transfer Mechanism. If the mechanism used by the Parties for the transfer of Personal Data to third countries should become invalid, the Parties will promptly put in place an alternative mechanism for the transfer of Personal Data to third countries.
Alternative Transfer Mechanism. The parties agree that the data export solution identified in Section 7.2 (Model Clauses) will not apply if and to the extent that SailPoint adopts an alternative data export solution for the lawful transfer of Personal Information (as recognised under European Data Protection Laws) outside of the EEA, the UK or Switzerland, in which event, Customer shall take any action (which may include execution of documents) strictly required to give effect to such solution and the alternative transfer mechanism will apply instead (but only to the extent such alternative transfer mechanism extends to the territories to which Customer Personal Information is transferred).
Alternative Transfer Mechanism. To the extent that iCIMS adopts an alternative data export mechanism approved by the applicable Supervisory Authority (including any new version of or successor to the Standard Contractual Clauses adopted pursuant to Data Protection & Privacy Laws (“Alternative Transfer Mechanism”)), the Alternative Transfer Mechanism shall automatically apply instead of any applicable transfer mechanism described in this Addendum (but only to the extent such Alternative Transfer Mechanism complies with applicable Data Protection & Privacy Laws and extends to territories to which Personal Data is transferred).
Alternative Transfer Mechanism. To the extent Seagate adopts an alternative data export mechanism (including any new version of or successor to the SCCs adopted pursuant to applicable EU Data Protection Law) for the transfer of Personal Data not described in this DPA (“Alternative Transfer Mechanism”), the Alternative Transfer Mechanism shall apply instead of any applicable transfer mechanism described in this DPA (but only to the extent such Alternative Transfer Mechanism complies with European Data Protection Law and extends to the territories to which Personal Data is transferred) and Company agrees to execute such other and further documents and take such other and further actions as may be reasonably necessary to give legal effect to such Alternative Transfer Mechanism. In addition, if and to the extent that a court of competent jurisdiction or a supervisory authority with binding authority orders or determines (for whatever reason) that the measures described in this DPA cannot be relied on to lawfully transfer such Company Personal Data, Company acknowledges and agrees that Seagate may implement any additional measures or safeguards that may be reasonably required to enable the lawful transfer of such Company Personal Data.
Alternative Transfer Mechanism. To the extent that Databricks adopts an alternative data export mechanism (including any new version of or successor to the Standard Contractual Clauses adopted pursuant to Applicable Data Protection Laws (“Alternative Transfer Mechanism”)), the Alternative Transfer Mechanism shall automatically apply instead of any applicable transfer mechanism described in this DPA (but only to the extent such Alternative Transfer Mechanism complies with Applicable Data Protection Laws applicable to Europe and extends to territories to which Customer Personal Data is transferred).
