Alternate Delivery. Whenever possible, the administration will work cooperatively with faculty when assignments for distance learning, combined classes or flex labs are necessary.
Alternate Delivery. If the Parties develop Alternate Delivery for Product as provided in the Collaboration Agreement, the Parties' rights to, and responsibilities for, the commercialization of such Alternate Delivery Product will be consistent with the respective rights to and responsibilities for promoting Product as set forth in this Agreement. The JCC will establish the detail level, detail position, promotion message, promotion materials and additional promotional matters for each Alternate Delivery Product consistent with the terms of this Agreement.
Alternate Delivery. If Seller requests, Buyer may, but shall have no obligation, to designate any reasonable alternate delivery point to expedite or facilitate Seller's performance of this Contract, and in such instance any increased shipping charges shall be for Seller's account. If, however, a change in the designated delivery points is solely for Buyer's convenience, increased shipping charges shall be for Buyer's account.
Alternate Delivery. If the REC Tracking System is not operational on a Delivery Date because of technical problems, or other circumstances beyond the reasonable control of the Parties, such that Delivery cannot be affected through REC Tracking System, the Delivery obligation (and any concomitant payment obligation) shall be suspended until such time as the technical problems are repaired or mutually acceptable alternate delivery can be arranged; provided, however, if Delivery cannot be effectuated within sixty days of the Delivery Date, Buyer shall have the option, but not the obligation, to terminate the Agreement.

If the Applicable Tracking System is not operational on a Delivery Date because of technical problems, or other circumstances beyond the reasonable control of the Parties, such that Delivery cannot be affected through Applicable Tracking System, the Delivery obligation (and any concomitant payment obligation) shall be suspended until such time as the technical problems are repaired or mutually acceptable alternate delivery can be arranged; provided, however, if Delivery cannot be effectuated within sixty days of the Delivery Date, Buyer shall have the option, but not the obligation, to terminate the Agreement.
Alternate Delivery. Alternate Delivery. If the Investor is a registered investment company and is not settling its purchase of Shares pursuant to Section 3(b) above, on or before the Closing Date, the Company shall cause the Transfer Agent to deliver the Shares purchased by such Investor to the account and/or at the address designated by such Investor, and upon receipt by such Investor of such Shares, such Investor shall wire, in immediately available funds, the Purchase Amount for such Shares to an account designated by the Company.
Alternate Delivery. Points: If there is a temporary operational constraint at the Xxxx Island Facility, or in order to take Make-Up Quantities as described in "Take or Pay/Delivery Failure," Sonat Energy may designate an alternate delivery point for receipt of any quantities to be delivered hereunder, provided that Sonat Energy arranges its own shipping, pays any additional costs associated with or arising out of the delivery to such alternate delivery point, including, without limitation, terminalling costs. Enron Americas may provide such shipping if such provision does not materially interfere with its other requirements for such ship, and Sonat Energy covers the cost thereof and any additional costs to Enron Americas and its affiliates in connection with the delivery of such cargo to the Alternate Delivery Point. Any volumes delivered to an alternate delivery point pursuant to this paragraph shall be deemed to have been delivered and taken at the Xxxx Island Facility pursuant to Sonat Energy's obligations set forth in the section "Sale & Purchase"; provided, however, that the designation of an alternate delivery for a cargo of Redelivery Quantity shall not relieve Sonat Energy from delivering to Enron Americas, pursuant to the Redelivery Option, a quantity of Redelivered Gas equal to the Delivered Volume of Redelivery Quantities delivered to such alternate delivery point. Alternate Delivery. If through no fault of KPU a truck or barge delivery is delayed beyond the delivery time as set forth herein, the Bidder shall provide delivery by other means within the time set forth herein at no increase in cost to Owner.
Alternate Delivery. If CITSS is not operational on a Delivery Date because of technical problems, or other circumstances beyond the reasonable control of the Parties, such that Delivery cannot be effected through CITSS, Seller shall effect Delivery on the earliest Business Day following the Delivery Date on which CITSS is operable; provided, however, in the event Delivery cannot take place within three hundred and sixty five (365) days of the Delivery Date, whether due to termination or suspension of CITSS (and or the Cap and Trade Regulations) or otherwise, either Party shall have the option to terminate this Agreement.
