Allocation of Rights. A. Both UNIVERSITY and SPONSOR agree to promptly disclose to the other all Intellectual Property developed in the course of the work under this Agreement. The Intellectual Property developed solely by the SPONSOR shall be owned by the SPONSOR. The Intellectual Property developed solely by the UNIVERSITY in the performance of work under this Agreement shall be owned by the UNIVERSITY. The Intellectual Property developed jointly by the UNIVERSITY and SPONSOR in the performance of work under this Agreement shall be jointly owned.
