Alliance Management. Management of the collaborative alliance reflected in this Agreement will be under the responsibility of the individual designated in writing no later than [*****] after the Closing Date for CureVac (“CureVac Alliance Manager”) and of the individual designated in writing no later than [*****] after the Closing Date for GSK (“GSK Alliance Manager”, and together with the CureVac Alliance Manager, the “Alliance Managers”), provided that the Alliance Managers under this Agreement and under the 2020 Collaboration Agreement shall be the same individuals. Each Alliance Manager will be the primary point of contact for the other Party on all matters relating to the operation of this Agreement and the 2020 Collaboration Agreement.
Alliance Management. Within [***] days after the Effective Date, each of Intellia and Regeneron shall appoint a senior representative [***] to act as its alliance manager hereunder, and each Party may replace such person upon notice (which may be via email) to the other Party (each such person, an “Alliance Manager”, and collectively, the “Alliance Managers”). Each Alliance Manager shall be charged with creating and maintaining a collaborative work environment between the Parties. Each Alliance Manager will also be responsible for acting as a single-point of communication for seeking consensus both internally within the respective Party’s organization and with the other Party’s organization, including facilitating review of external corporate communications. The Alliance Managers shall continue to serve in their role until [***].
Alliance Management. Within [***] days of the Effective Date, each Party shall appoint a person who shall oversee contact between the Parties for all matters related to the Collaboration between meetings of the JSC and JPT and shall have such other responsibilities as the Parties may mutually agree in writing after the Effective Date (each, a “Collaboration Manager”). Each Party may replace its Collaboration Manager at any time by notice in writing to the other Party.
Alliance Management. Management of the collaborative alliance reflected in this Agreement will be under the responsibility of the individual designated in writing within [*****] of the Effective Date for CureVac (“CureVac Alliance Manager”) and of the individual designated in writing within [*****] of the Effective Date for Genmab (“Genmab Alliance Manager”, and together, the “Alliance Managers”). Each Alliance Manager will be the primary point of contact for the other Party on all matters relating to the operation of this Agreement other than Program activities.
Alliance Management. No later than [**] days following the Effective Date, each Party shall nominate one (1) representative to act as a central contact for that Party (“Alliance Manager”), to whom any relevant queries and comments can be addressed by the other Party and who will ensure that such queries and comments are further directed within his organization appropriately and promptly to ensure efficient communication and cooperation between the Parties. Either Party may replace its Alliance Manager at any time upon written notice to the other Party. Each Party shall bear its own costs associated with its Alliance Manager position. The Alliance Managers shall remain in place for the Term.
Alliance Management. Each of Sanofi and Regeneron shall appoint a senior representative who possesses a general understanding of research, clinical, and regulatory issues to act as its Alliance Manager (“Alliance Manager”). Each Alliance Manager shall be charged with creating and maintaining a collaborative work environment between the Parties. Each Alliance Manager will also be responsible for providing single-point communication for seeking consensus both internally within the respective Party’s organization and with the other Party’s organization, including facilitating review of external corporate communications.
Alliance Management. Each of Kiniksa and Regeneron shall appoint a senior representative who possesses a general understanding of research, clinical, regulatory, Confidential Portions of this Exhibit marked as [***] have been omitted pursuant to a request for confidential treatment and have been filed separately with the Securities and Exchange Commission. Confidential Treatment Requested by Kiniksa Pharmaceuticals, Ltd. manufacturing and marketing issues to act as its alliance manager, and each Party may replace such person upon notice (which notice may be via email) to the other Party (“Alliance Manager” or “Alliance Managers”). Each Alliance Manager shall be charged with creating and maintaining a collaborative work environment between the Parties. Each Alliance Manager will also be responsible for acting as a single-point of communication for seeking consensus both internally within the respective Party’s organization and with the other Party’s organization, including facilitating review of external corporate communications. The Alliance Managers shall continue to serve in their role during the Term of the Agreement.
Alliance Management. The Alliance shall be managed by an Officer Review Board, an Alliance Council, Committees and Alliance Managers.
Alliance Management. The Parties each acknowledge and agree that it would be beneficial to each to have a representative to act as an alliance manager (“Alliance Manager”) and shall appoint such a person promptly after the Effective Date. The Alliance Managers shall serve as a single point of contact within each Party and shall coordinate as necessary with respect to the Products and the Other Products from time to time. If a Party needs to access any information or documentation of the other Party or any of its Affiliates that is related to any Product or Other Product in order to comply with applicable Law or any Regulatory Authority requirement, to the extent such access is not otherwise provided under this Agreement or the Asset Purchase Agreement, the Alliance Managers shall coordinate to provide such first Party appropriate access to such information or documents to the extent necessary for such first Party or its Affiliate to comply with applicable Law or any Regulatory Authority requirement.
Alliance Management. The Parties will upon execution of this Agreement each appoint one (1) alliance manager to manage the collaboration across Projects between MRK and ArcherDX under this Agreement. Changes in each Party’s alliance manager shall be notified in writing in advance to the other Party. The first meeting between the alliance managers shall be conducted within three (3) months following the Effective Date of this Agreement. Unless the Parties otherwise agree, the alliance managers will meet at least once each calendar quarter during the Term. The Parties shall agree to the specific meeting date and time. The meetings shall be in person or alternatively by teleconference or videoconference and shall alternate between MRK selected sites and ArcherDX selected sites, unless otherwise agreed. MRK and ArcherDX shall each bear all expenses of their respective alliance manager.
