Alliance Agreement. Nothing in this Agreement is intended to modify the respective rights and obligations of the Parties as set forth in the Alliance Agreement. Moreover, for the avoidance of doubt, the parties affirm that they do not intend for this Agreement to supersede the terms of any CDP the parties have executed pursuant to the Alliance Agreement, or that the parties subsequently execute.
Alliance Agreement. The Alliance Agreement shall have been executed and remain in full force and effect.
Alliance Agreement. The Company and the Purchaser shall have executed and delivered the Alliance Agreement.
Alliance Agreement. Prior to or simultaneous with the Closing, the Company and Investor shall have entered into the Alliance Agreement, substantially in the form of Schedule 5.7 hereto.
Alliance Agreement. The parties expressly agree that all provisions of ------------------ the Alliance Agreement other than Section 2.5.6 shall remain in full force and effect.
Alliance Agreement. A copy of the agreement entered into by March Networks and Mitel Networks, entitled "Alliance Agreement between March Networks and Mitel Networks", dated September 21st, 2001;
Alliance Agreement. This Agreement and the non-exclusive license granted herein may be terminated by either party if the Alliance Agreement is duly terminated (other than pursuant to Section D.3(a) or D.3(b)(iv) of the Alliance Agreement) by the terminating party pursuant to the terms thereof.
Alliance Agreement. The Alliance Agreement is in full force and effect, and no Adverse GMOI Event has occurred.
Alliance Agreement. 15.1 The Secretary of State has received on or before the Start Date the Alliance Agreement (in the agreed terms marked AA) or as otherwise approved by the Secretary of State (such consent not to be unreasonably withheld or delayed) duly executed and delivered by the Franchisee and Network Rail.
Alliance Agreement. On or prior to the Closing Date, each applicable Seller shall execute and deliver an Alliance Agreement substantially in the form attached as Exhibit 4.9 (the "Alliance Agreement") hereto with respect to certain compressed gas and surface oil and gas production equipment and related services to be provided by Hanover.
