Aircraft Assets. Schedule 1 contains a true and complete list of all Aircraft as of the Initial Closing Date and each Person within the ACS Group that will own such Aircraft as of the applicable Delivery Date. Except as otherwise set forth therein, once each Aircraft listed in Schedule 1 has been delivered under the ACS Group Purchase Agreement, each Person within the ACS Group listed as an owner of an Aircraft on such Schedule will have such title to such Aircraft as was conveyed to such Person, free and clear of all liens created by or through such Person other than the lien arising out of the entering into of the Initial Lease in respect of such Aircraft. Each ACS Group Member that directly owns an ACS Group Aircraft is organized in a jurisdiction that is a Contracting State.

Aircraft Assets. Schedule 1 contains a true and complete list of all Aircraft constituting Initial Aircraft as of the Initial Closing Date and each Person within the Issuer Group that is, as of the Initial Closing Date, expected to own such Initial Aircraft as of the Acquisition Date for such Aircraft under the Asset Purchase Agreement. Except as otherwise set forth therein, after each Initial Aircraft listed on Schedule 1 has been delivered under the Asset Purchase Agreement on the Acquisition Date therefor, as such Schedule may be amended by notice to the parties hereto by the Issuer, each Person within the Issuer Group listed as an owner of an Aircraft on such Schedule will have such title to such Aircraft as was conveyed to such Person, free and clear of all Liens created by or through such Person.

Schedule 4.01 contains a true and complete list of all Aircraft Assets, the Initial Appraised Value of each Aircraft and the Person within AerCo Group that owns directly or indirectly such Aircraft Asset (or, in the case of the Offering Memorandum Aircraft, the AerFi company whose stock is contemplated by the Offering Memorandum to be acquired by AerCo on or following the Closing Date and which has contracted to acquire such Offering Memorandum Aircraft), in each case as of the date hereof. Except as set forth on Schedule 4.01 or as disclosed in the Offering Memorandum, each Person listed within AerCo Group as an owner of the Aircraft Asset on Schedule 4.01 has good and marketable title to such Aircraft Asset, free and clear of all liens other than Permitted Encumbrances. If, following the Offering, less than all of the Offering Memorandum Aircraft are acquired by AerCo Group, the parties hereto will agree to an amended Schedule 4.01 to reflect the Offering Memorandum Aircraft actually acquired by AerCo Group. In addition, the Servicer will furnish to AerCo, upon request of AerCo, information necessary for AerCo to furnish to the Standby Servicer a complete list of all Aircraft Assets, the Initial Appraised Value of each Aircraft Asset and the Person within AerCo Group that owns such Aircraft Asset, the jurisdiction in which such Person is legally organized and its officers, directors and shareholders, in each case as of the Start Date.

MCC will, and will cause each of its Subsidiaries to, take such action as shall be necessary to ensure that it delivers to the Administrative Agent such security agreements and other instruments not later than the date thirty days after the Restatement Effective Date as the Administrative Agent shall request to create and perfect Liens on the aircraft assets of MCC and its Subsidiaries, it being understood that, in connection with any incurrence of Indebtedness permitted under Section 6.03(m) that is to be secured by such aircraft assets, the Administrative Agent is authorized and directed to release such Liens upon application of the net cash proceeds thereof to the Revolving Credit Loans as contemplated in Section 6.03(m).
