Agreement with the Company. The Seller shall have entered into a valid and binding agreement with the Company, in the form attached hereto as Exhibit I, modifying the Employment Agreement. The amendment to the Employment Agreement shall (i) provide for the termination of the Put Right (as defined in the Employment Agreement) which was exercised by the Seller on April 30, 1997 and (ii) permit for the sale of the Shares to the Buyer.

Agreement with the Company. It supersedes any other agreements or promises made to you by anyone, whether oral or written. Except for terms reserved to the Company’s discretion, no term or provision of this Agreement may be amended waived, released, discharged or modified except in writing, signed by you and an authorized officer of the Company. This Agreement will be governed by the laws of California. If any provision of this Agreement is determined to be invalid or unenforceable, in whole or in part, this determination shall not affect any other provision of this offer letter agreement and the provision in question shall be modified so as to be rendered enforceable in a manner consistent with the intent of the parties insofar as possible under applicable law. Agreement with the Company. The Parties shall not force the Company to enter into any agreement which may constitute conflicts of the Company’s interest in management and in procurement of the material or equipment for their products and facilities of the Company. The Parties shall use their best efforts to cause the Company and its employees to adhere to local laws and the internal policies of the Parties relating to ethical conduct, adherence to laws and conflicts of interest.

  • Employment with the Company While Executive is employed by the Company during the Term, Executive shall be employed as the Chief Financial Officer of the Company, and such other titles as the Company may designate, and shall perform such duties and responsibilities as the Company shall assign to him from time to time, including duties and responsibilities relating to the Company's wholly-owned and partially owned subsidiaries and other affiliates.

  • Service with the Company During the Term of this Agreement, Executive agrees to perform such executive employment duties as the Board or the President shall reasonably assign to him from time to time.
