Agreement Made in California; Venue. 22.1 This Agreement shall be deemed to have been executed in the City of Oakley, County of Xxxxxx. The formation, interpretation and performance of this Agreement shall be governed by the laws of the State of California, excluding its conflict of laws rules. The exclusive venue for all disputes or litigation arising out of this Agreement shall be in the Superior Court of the County of Xxxxxx unless the parties agree otherwise in a written amendment to this Agreement. 22.2 The parties shall execute four (4) copies of this Agreement, each of which shall be deemed originals.
