Aggregate Market Value. As of the later of (i) the date that the Registration Statement or the most recent post-effective amendment thereto became effective under the Securities Act and (ii) the date that the Company’s Annual Report on Form 10-K for its most recently completed fiscal year is filed with the Commission under the Exchange Act, the aggregate market value of the voting shares held by non-Affiliates of the Company (computed using the price at which the Common Shares were last sold as of a date within 60 days prior to such date) exceeds $150 million.
