Common use of Agents and Subcontractors Clause in Contracts

Agents and Subcontractors. Business Associate agrees to ensure that any agent, including a subcontractor, to whom it provides PHI received from, or created or received by the Business Associate on behalf of, a Covered Entity, agrees to the same restrictions and conditions that apply through this Agreement to the Business Associate with respect to PHI.

Agents or subcontractors shall notify Business Associate, Covered Entity, or appropriate federal authority of any use and/or disclosure of PHI not provided for by this Agreement to the Business Associate with respect to PHIof which it becomes aware.

Business Associate agrees to will ensure that any agent, including a subcontractor, to whom it provides PHI received from, or created or received by the subcontractor of Business Associate that creates, receives, maintains or transmits Allina PHI, for or on behalf of, a Covered Entityof Business Associate, agrees to the same restrictions and conditions that apply through this Agreement Addendum to the Business Associate with respect to PHIsuch information and enters into a written contract or other arrangement that complies with the requirements under HIPAA applicable to business associate agreements.

Business Associate agrees shall obtain and maintain a written agreement with each agent or subcontractor that has or will have access to ensure that any agentthe PHI, including a subcontractor, to whom it provides PHI which is received from, or created or received by the Business Associate on behalf of, a in the course of performing the Services for Covered Entity, pursuant to which agreement such agent or subcontractor agrees to be bound by the same restrictions restrictions, terms and conditions that apply through to Business Associate pursuant to this Agreement to the Business Associate with respect to such PHI.
