Common use of Agents and Attorneys Clause in Contracts

Agents and Attorneys. Agent or Collateral Agent may execute any of its respective duties under this Agreement, the Notes and the Security Documents by or through agents or attorneys selected by Agent or Collateral Agent, respectively, using reasonable care. Neither Agent nor Collateral Agent shall be responsible for the negligence or misconduct of any agents or attorneys so selected. Agent and Collateral Agent shall be entitled to the advice of counsel concerning all matters pertaining to their respective duties hereunder.
