After Commencement Date. At the Sublease Premises Attn: Chief Business Officer Sublandlord hereby agrees to provide Subtenant with a copy of any notice it receives from Master Landlord which pertains to the Sublease Premises within five (5) business days after Sublandlord’s receipt of such notice.
After Commencement Date. Landlord shall not be in default after Commencement Date unless Landlord fails to perform its obligations within a reasonable time, but in no event later than thirty (30) days after written notice by Tenant to Landlord; provided that if the nature of Landlord's obligation is such that more than thirty (30) days are required for performance, then Landlord shall not be in default if Landlord commences performance within such 30-day period and thereafter diligently prosecutes the same to completion provided further, and notwithstanding the foregoing, if Landlord's failure materially interferes with Tenant's ability to conduct its business operations in the Premises or poses a material threat of injury to persons or damage to property, Landlord shall be in default unless it commences to cure promptly following notice of such fact and diligently prosecutes such cure to completion. If Landlord fails to perform its obligations pursuant to the warranties set forth in Section 3.5 according to the previous sentence, then Tenant may take such action as reasonably necessary to correct any defect covered by Landlord's warranties and Landlord shall pay Tenant the reasonable costs incurred by Tenant in performing such corrections within thirty (30) days of Tenant's invoice to Landlord. In any event Tenant shall give Landlord notice of its intention to exercise its rights to correct such defects prior to commencement of corrective action. In no event shall Tenant have the right to terminate this Lease as a result of Landlord's default and Tenant's remedies shall be limited to damages and/or injunction except in the event that Landlord is dispossessed of title to the Premises and Tenant's possession of the Premises is terminated notwithstanding that Tenant is not in default under this Lease.
After Commencement Date. PIHP and Administrator may mutually agree that Administrator provide Claims Processing and Encounter Submission services to the PIHP for the Member CMHSPs. Administrator will not provide any Claims Functions (including Encounter processing, cleansing, assembly or submission to MDHHS) to the PIHP at time of Commencement Date, however, it is the expectation that the LRE shall transition encounter processing and submission functions to Administrator for Program Year 2 with an operational start date of October 1, 2019 and the CMHSP Members shall transition claims processing and payment functions to Administrator for Program Year 2 with an operational start date of October 1, 2019. Should the aforementioned transitions not occur so that Administrator is providing a single claims and encounter process for all providers in the Lakeshore Region, then Administrator reserves the right to renegotiate its risk position as defined in Exhibit K. Financial Management, Medical Risk and Incentive. During Program Year 1, Administrator, LRE and CMHSP Members will participate in discovery and implementation activities relating to the transition and subsequent execution of claims and encounter functions (see also: Exhibit I DELEGATION GRID, Claims).

  • Commencement Date The Subcontractor shall be permitted to begin the Services on ______________________, 20____ (“Commencement Date”).

  • Rent Commencement Date The "Rent Commencement Date" shall be the date that Tenant first uses the Premises or any portion thereof for any purpose permitted under this lease. In the event this lease pertains to a building or building interior finish to be constructed, the "Rent Commencement Date" shall be the date upon which the buildings and other improvements erected and to be erected upon the premises shall have been substantially completed in accordance with the plans and specifications described on Exhibit "C" attached hereto and incorporated herein by reference, provided however, that if Landlord shall be delayed in such substantial completion as a result of: (i) Tenant's failure to agree to plans, specifications, and cost estimates, within a reasonable period of time; (ii) Tenant's request for materials, finishes or installations other than Landlord's standard; (iii) Tenant's changes in plans: the commencement date and the payment of rent hereunder shall be accelerated by the number of days of such delay, and provided further that if Landlord cannot substantially complete the premises as a result of any events (i) through (iii) above, Landlord may as its election complete so much of Landlord's work as may be practical under the circumstances and, by written notice to Tenant, establish the commencement date as the date of such partial completion, subject to any applicable accelerations due to delays resulting from events (i) through (iii) above. Taking possession by Tenant shall be deemed conclusively to establish that said buildings and other improvements have been completed in accordance with the plans and specifications and that the premises are in good and satisfactory condition, as of when possession was so taken. Tenant acknowledges that no representations as to the repair of the premises have been made by Landlord, unless such are expressly set forth in the lease. After such "Rent Commencement Date" Tenant shall, upon demand, execute and deliver to Landlord a letter of acceptance of delivery of the premises. In the event of any dispute as to substantial completion of work performed, execute or required to be performed by Landlord, the certificate of Landlord's architect or general contractor shall be conclusive.

  • Service Commencement Date The date the Transmission Provider begins to provide service pursuant to the terms of an executed Service Agreement, or the date the Transmission Provider begins to provide service in accordance with Section 15.3 or Section 29.1 under the Tariff.
